o razglasitvi Zakona o ratifikaciji sporazuma med Vlado Republike Slovenije in Vlado Združenih držav Amerike o znanstvenem in tehnološkem sodelovanju
Razglašam Zakon o ratifikaciji sporazuma med Vlado Republike Slovenije in Vlado Združenih držav Amerike o znanstvenem in tehnološkem sodelovanju, ki ga je sprejel Državni zbor Republike Slovenije na seji dne 27. julija 1993.

ZAKON
O RATIFIKACIJI SPORAZUMA MED VLADO REPUBLIKE SLOVENIJE IN VLADO ZDRUŽENIH DRŽAV AMERIKE O ZNANSTVENEM IN TEHNOLOŠKEM SODELOVANJU
1. člen
Ratificira se Sporazum med Vlado Republike Slovenije in Vlado Združenih držav Amerike o znanstvenem in tehnološkem sodelovanju, podpisan v Washingtonu 29. aprila 1993.
2. člen
Sporazum se v izvirniku v slovenskem in angleškem jeziku glasi:
SPORAZUM MED VLADO REPUBLIKE SLOVENIJE IN VLADO ZDRUŽENIH DRŽAV AMERIKE O ZNANSTVENEM IN TEHNOLOŠKEM SODELOVANJU
Vlada Republike Slovenije in Vlada Združenih držav Amerike (v nadaljnjem besedilu: podpisnici)
se zavedata pomena znanosti in tehnologije za razvoj nacionalnih gospodarstev obeh držav,
sta prepričani, da bo mednarodno sodelovanje v znanosti in tehnologiji še nadalje krepilo prijateljske vezi in razumevanje med narodoma ter pospešilo razvoj znanosti in tehnologije ter njun vpliv na blaginjo obeh držav in človeštva nasploh,
v želji po nadaljevanju in razširitvi znanstvenega in tehnološkega sodelovanja, ki je uspešno potekalo med državama v preteklosti na podlagi sporazuma, podpisanega 27. junija 1988 (v nadaljnjem besedilu sporazum iz leta 1988),
prepričani o nujnosti nadaljnjega razvijanja obojestransko koristnega znanstvenega in tehnološkega sodelovanja in
ob upoštevanju načel helsinške Sklepne listine Konference o varnosti in sodelovanju v Evropi,
zato sta se sporazumeli o temle:
1. člen
1. Podpisnici bosta razvijali, podpirali in omogočali znanstveno in tehnološko sodelovanje med sodelujočimi organizacijami obeh držav na podlagi enakosti, vzajemnosti in skupnih interesov. To sodelovanje lahko poteka na področjih, kot so: temeljne znanosti, varstvo okolja, medicinske znanosti in zdravstvo, kmetijstvo, raziskave na področju inženiringa, energija, naravni viri in njihova uporaba, promet, standardizacija, znanstvena in tehnološka politika in vodenje in druga področja znanosti in tehnologije, o katerih se dogovori Skupni odbor, ustanovljen v skladu z 9. in 10. členom tega sporazuma.
2. Sodelujejo lahko znanstvene akademije, znanstveni inštituti, znanstvena združenja, vladne agencije in organizacije, univerze in druge raziskovalne in razvojne organizacije obeh držav.
3. Dejavnosti sodelovanja lahko vključujejo: koordinirane in skupne raziskovalne projekte, študije in raziskave, skupne znanstvene tečaje, delavnice, konference in simpozije, izmenjavo znanstvenih in tehnoloških informacij in dokumentacije v zvezi z dejavnostjo sodelovanja, izmenjavo znanstvenikov, strokovnjakov in raziskovalcev, izmenjavo oziroma souporabo opreme ali materiala, potrebnega za raziskave in druge oblike znanstvenega in tehnološkega sodelovanja, o katerih se dogovori Skupni odbor.
2. člen
Sodelovanja v okviru tega sporazuma poteka v skladu z veljavnimi zakoni in predpisi obeh podpisnic in v okviru razpoložljivih dogovorjenih sredstev,
3. člen
1. Dejavnosti sodelovanja v okviru tega sporazuma potekajo na osnovi dogovorov o izvajanju ali drugih dogovorov med vladnimi organizacijami obeh strani (v nadaljevanju: dogovori o izvajanju). Dogovori o izvajanju lahko vključujejo predmet sodelovanja, postopke, financiranje, razporeditev stroškov in druge zadeve v zvezi s sodelovanjem.
2. Dejavnosti znanstvenega in tehnološkega sodelovanja, ki tečejo med sodelujočimi organizacijami po sporazumu iz leta 1988, se bodo nadaljevale in bodo potekale v skladu z določili tega sporazuma.
4. člen
Pri dejavnostih sodelovanja po tem sporazumu bosta obe strani v skladu s svojimi zakoni in predpisi omogočali:
a. hiter in učinkovit vstop in izstop ustrezne opreme, inštrumentov in projektnih informacij s svojega ozemlja;
b. hiter in učinkovit vstop in izstop oseb, udeleženih pri izvajanju tega sporazuma, s svojega ozemlja ter potovanja in delo tem osebam na svojem ozemlju;
c. dostop do geografskih področij, podatkov, materialov, institucij, povezanih z dejavnostmi sodelovanja in do oseb, ki sodelujejo pri izvajanju tega sporazuma, in
d. obojestranski dostop do pomembnejših programov, opreme in raziskovalnih centrov, katerih pokrovitelj je ali jih podpira vlada, in do laboratorijev za gostujoče raziskovalce ter obojestranski dostop in izmenjavo informacij na področju znanstvenih in tehnoloških raziskav in razvoja.
5. člen
Predpisi o varstvu in širjenju intelektualne lastnine, ustvarjene ali pridobljene na podlagi sodelovanja po tem sporazumu, so navedeni v Dodatku A, ki je sestavni del tega sporazuma.
6. člen
Znanstvene in tehnološke informacije, ki niso posebej zaščitene in izhajajo iz sodelovanja po tem sporazumu, bodo na voljo svetovni znanstveni skupnosti po rednih poteh in v skladu z rednimi postopki sodelujočih organizacij, če ne bo drugače pisno dogovorjeno z dogovori o izvajanju.
7. člen
Znanstvenike, strokovnjake in institucije tretjih držav ali mednarodnih organizacij se na podlagi soglasja obeh podpisnic lahko na njihove lastne stroške, če ni drugače dogovorjeno, povabi k sodelovanju pri dejavnostih po tem sporazumu.
8. člen
Določila tega sporazuma ne preprečujejo dogovorov o znanstvenem in tehnološkem sodelovanju med organizacijami obeh podpisnic izven tega sporazuma.
9. člen
Za izvajanje tega sporazuma podpisnici ustanovita Skupni slovensko-ameriški odbor za znanstveno in tehnološko sodelovanje (v nadaljevanju: Skupni odbor). Skupni odbor bo:
a. priporočal podpisnicama politiko sodelovanja v okviru tega sporazuma
b. določal področja in oblike sodelovanja v skladu s 1. in 3. odstavkom 1. člena;
c. obravnaval, ocenjeval in dajal posebna priporočila v zvezi z dejavnostmi znanstvenega in tehnološkega sodelovanja;
d. obravnaval specifične dejavnosti sodelovanja, ki jih predhodno priporočijo vladne agencije in organizacije obeh strani in zanje odobrita sredstva izvršilna organa (v skladu z 11. členom);
e. pripravljal periodična poročila o dejavnosti Skupnega odbora in dejavnostih sodelovanja po tem sporazumu ter jih dajal v pregled ministru za znanost in tehnologijo ali ministru za zunanje zadeve Republike Slovenije in državnemu sekretarju Združenih držav Amerike in
f. opravljal druge naloge, o katerih se dogovorita podpisnici.
10. člen
1. Skupni odbor sestavljajo štirje vladni predstavniki, od katerih dva imenuje Vlada Republike Slovenije, da jo zastopata, in dva Vlada Združenih držav Amerike, da jo zastopata. Vsaka stran lahko imenuje namestnike svojih članov, če je to potrebno.
2. Skupni odbor se sestaja enkrat letno, izmenično v Republiki Sloveniji in Združenih državah Amerike, ali večkrat, če se podpisnici tako odločita.
3. Skupni odbor izmed svojih članov izbere predsedujočega za enoletno obdobje.
4. Skupni odbor se odloča s konsenzom.
11. člen
1. Vsaka podpisnica ima izvršilni organ. Izvršilna organa sta Ministrstvo za znanost in tehnologijo v Republiki Sloveniji in Državni sekretariat Združenih držav Amerike.
2. Izvršilna organa nadzorujeta, vodita in usklajujeta dejavnosti sodelovanja po tem sporazumu.
3. Izvršilna organa odobravata finančna sredstva za dejavnosti sodelovanja, kijih priporočijo vladne agencije in organizacije obeh strani.
4. Izvršilna organa upravljata s skupnim skladom, ki ga podpisnici ustanovita za financiranje skupnih aktivnosti. Ustanovitev. Skupnega sklada opredeljuje 12. člen tega sporazuma.
5. Izvršilna organa pripravljata delovna gradiva za zasedanja Skupnega odbora.
12. člen
Podpisnici ustanovita Skupni sklad za razvijanje predlogov, izvajanje in financiranje dejavnosti sodelovanja po tem sporazumu. Podpisnici prispevata v sklad enaka deleža. Ustanovitev Skupnega sklada je opredeljena v Dodatku B, ki je sestavni del tega sporazuma.
13. člen
1. Ta sporazum začne veljati z dnem izmenjave pisnih obvestil po diplomatski poti, da sta podpisnici izpolnili zahteve internega postopka za njegovo uveljavitev. Ta sporazum velja pet let. S pričetkom veljavnosti ta sporazum nadomesti sporazum iz leta 1988 med Vlado Republike Slovenije in Vlado Združenih držav Amerike. Podpisnici sporazum lahko podaljšata s pisnim dogovorom.
2. Vsaka podpisnica lahko ta sporazum odpove drugi strani pisno šest mesecev prej. Odpoved tega sporazuma ne prepreči izvajanja skupnih dejavnosti po tem sporazumu, ki po izteku odpovednega roka še niso zaključene.
3. Ta sporazum lahko podpisnici dopolnita s pisnim dogovorom.
Vlada Republike Slovenije in Vlada Združenih držav Amerike sta pooblastili vsaka svojega podpisnika tega sporazuma.
 
Sestavljeno v Washingtonu dne 29. aprila 1993 v dveh izvodih, v slovenskem in angleškem jeziku. Obe besedili sta enako veljavni.

DODATEK A
INTELEKTUALNA LASTNINA
V skladu s 5. členom tega sporazuma bosta podpisnici zagotavljali ustrezno in učinkovito varstvo intelektualne lastnine, ustvarjene ali zagotovljene na podlagi tega sporazuma ter ustreznih dogovorov o izvedbi. Podpisnici se sporazumeta, da se bosta medsebojno pravočasno obveščali o izumih ali avtorskih delih, ki izhajajo iz sodelovanja na podlagi tega sporazuma, in bosta pravočasno poskrbeli za varstvo pravic do intelektualne lastnine. Pravice do take intelektualne lastnine bodo razporejene, kot določa ta dodatek.
I. OBSEG
A. Ta dodatek se nanaša na vse dejavnosti sodelovanja po sporazumu, razen če se podpisnici ali njune pooblaščene osebe v specifičnih primerih ne dogovorijo drugače.
B. V skladu s tem sporazumom ima izraz »intelektualna lastnina« pomen, ki ga določa 2. člen Konvencije o ustanovitvi Svetovne organizacije za intelektualno lastnino, podpisane v Stockholmu 14. julija 1967.
C. Ta dodatek se nanaša na razporeditev pravic, deležev in nadomestil med podpisnicama. Vsaka podpisnica bo zagotovila drugi možnost za pridobitev pravice do intelektualne lastnine, razporejene v skladu s tem dodatkom, na podlagi pogodb s svojimi udeleženci pri sodelovanju oziroma po potrebi na podlagi drugih zakonitih sredstev. Ta dodatek sicer ne spreminja ali prejudicira razporeditve med podpisnicama in njunimi državljani, ki bo določena z zakoni in prakso podpisnic.
D. Spore v zvezi z intelektualno lastnino, ustvarjeno po sporazumu, naj dogovorno rešujejo prizadete ustanove udeleženke v sodelovanju ali, če je potrebno, podpisnici ali njuni pooblaščenci. Na podlagi dogovora obeh podpisnic bo spor predložen razsodišču za obvezno poravnavo v skladu z veljavnimi pravili mednarodnega prava. Če se podpisnici ali njuni pooblaščenci drugače pisno ne dogovorijo, veljajo arbitražni predpisi Komisije Združenih narodov za mednarodno trgovinsko pravo (UNCITRAL).
E. Prenehanje veljavnosti sporazuma ne vpliva na pravice in obveznosti iz tega dodatka.
II. RAZPOREDITEV PRAVIC
A. Vsaka podpisnica bo upravičena do neizključne, nepreklicne in brezplačne licence v vseh državah do prevajanja, razmnoževanja in javne distribucije znanstvenih in tehničnih časopisnih člankov, poročil in knjig, ki neposredno izhajajo iz sodelovanja po tem sporazumu. Vsi javni izvodi avtorskega dela, pripravljenega na podlagi teh določil, bodo označeni z imeni avtorjev dela, razen če avtor izrecno ne želi biti imenovan.
B. Pravice do vseh oblik intelektualne lastnine, razen pravic, navedenih pod II. A., bodo dodeljene takole:
1. Gostujočim raziskovalcem, na primer gostujočim znanstvenikom na študijskem izpopolnjevanju, bodo priznane pravice do intelektualne lastnine na podlagi politik institucije gostiteljice. Dodatno bo imel vsak gostujoči raziskovalec, ki je izumitelj, pravico do deleža do vsake licenčnine, ki jo pridobi institucija gostiteljica z licenčno pogodbo za to intelektualno lastnino.
2. a. Za intelektualno lastnino, ustvarjeno med skupnim raziskovanjem, na primer na podlagi vnaprejšnjega dogovora o obsegu dela med podpisnicama, sodelujočimi institucijami ali sodelujočim osebjem, bo vsaka podpisnica upravičena do pridobitve vseh pravic in deležev na svojem ozemlju. Pravice in interesi v tretjih državah bodo določeni z dogovori o izvedbi. Če raziskava v ustreznih dogovorih o izvedbi ni označena kot »skupna raziskava«, bodo pravice do intelektualne lastnine, ki izhaja iz raziskave, razporejene v skladu z odstavkom II. B. 1. Dodatno bo vsaka oseba, ki je izumitelj, upravičena do deleža licenčnine, pridobljene v katerikoli instituciji na podlagi licenciranja lastnine.
b. Če kljub odstavku II. B. 2. a. ena podpisnica zagotavlja zakonsko varstvo določene vrste intelektualne lastnine, druga pa ne, bo podpisnica, katere zakoni zagotavljajo to varstvo, upravičena do vseh pravic in interesov po svetu. Osebe, ki so izumitelji, bodo kljub temu upravičene do deleža licenčnine, kot določa II. B.2. a.
III. ZAUPNE POSLOVNE INFORMACIJE
Če je informacija, ki je bila zgotovljena ali ustvarjena na podlagi sporazuma, pravočasno opredeljena kot zaupna poslovna informacija, bodo podpisnici in njuni udeleženci varovali takšno informacijo v skladu z veljavnimi zakoni, pravili in administrativno prakso. Informacija je lahko opredeljena kot zaupna poslovna informacija, če oseba, ki ima to informacijo, iz nje lahko ustvari gospodarsko korist ali pridobi konkurenčno prednost pred tistimi, ki je nimajo, če informacija ni splošno znana ali dostopna javnosti iz drugih virov in če je lastnik ni predhodno dal na razpolago, ne da bi pravočasno določil zaupnost informacije.
DODATEK B
SKUPNI SKLAD
1. Podpisnici se zavežeta, da bosta v skladu z razpoložljivostjo dodeljenih sredstev v skupni sklad prispevali enaka deleža. Znesek deleža bo opredeljen in dogovorjen po uradni poti.
2. V skladu z veljavnimi zakoni in predpisi bosta podpisnici podvzeli ustrezne ukrepe za zagotovitev monetarne integritete skupnega sklada in bosta sredstva naložili na račune, ki se obrestujejo.
3. Podpisnici imata pri upravljanju skupnega sklada enaki vlogi. Postopki uveljavljanja skupnega sklada in uporabe sredstev za razvoj, organizacijo in podporo dejavnosti sodelovanja na področju znanosti in tehnologije, bodo kar se da enostavni in učinkoviti.
4. S sredstvi, prispevanimi v skupni sklad, upravljata izvršilna organa, navedena v 11. členu.
5. Administrativni stroški skupnega sklada se krijejo iz obresti na sredstva skupnega sklada. V primeru, da sredstva iz obresti ne zadoščajo za kritje teh stroškov, se manjkajoča sredstva sposodijo ali zagotovijo iz sredstev skupnega sklada.
6. Ustanovitev in delovanje skupnega sklada ne preprečujeta sodelujočim organizacijam obeh strani sklepanja posebnih in dopolnilnih dogovorov za financiranje dejavnosti, ki so predmet sodelovanja. Sodelujoče organizacije obeh strani, ki svoje dejavnosti financirajo iz drugih virov, lahko sodelujejo v dejavnostih, ki jih financira skupni sklad.
7. O posebnih dodatnih dogovorih za vodenje in uporabo skupnega sklada in o vračanju sredstev, izposojenih iz skupnega sklada (glej odstavek 5), se dogovori Skupni odbor.
8. V primeru, da je ta sporazum odpovedan ali da poteče, se podpisnici dogovorita o razpolaganju z ostankom sredstev v skupnem skladu.
DODATEK C
DOLOČILA O VARNOSTI
I. ZAŠČITA INFORMACIJ
Podpisnici se strinjata, da ne bo nobena informacija ali oprema, katere zaščito terjajo interesi nacionalne varnosti ali zunanjih odnosov in je tajna glede na veljavne zakone in predpise, dana na razpolago v okviru tega sporazuma. Če se ugotovi, da gre za informacijo ali opremo, ki izhaja iz dejavnosti sodelovanja po tem sporazumu, za katero je znano ali se predpostavlja, da terja tako zaščito, se takoj obvesti pristojne službe in podpisnici se posvetujeta o potrebnosti in stopnji zaščite take informacije ali opreme.
 
II. PRENOS TEHNOLOGIJE
Prenos nezaščitenih, vendar izvozno kontroliranih informacij ali opreme, ki je zagotovljena ali izdelana po tem sporazumu med podpisnicama, je izveden v skladu z zakoni in predpisi vsake podpisnice, ki preprečujejo neavtoriziran prenos in prenos v tretje države takih informacij ali opreme. Natančna določila za preprečitev neavtoriziranega prenosa takih informacij ali opreme ali prenosa v tretje države se vključujejo v pogodbe ali dogovore o izvajanju, če katera od podpisnic meni, da je to potrebno.
AGREEMENT BETWEEN THE GOVERNMENT OF THE REPUBLIC OF SLOVENIA AND THE GOVERNMENT OF THE UNITED STATES OF AMERICA FOR SCIENTIFIC AND TECHNOLOGICAL COOPERATION
The Government of the Republic of Slovenia and the Government of the United States of America (hereinafter referred to as "the Parties");
Recognizing the importance of science and technology in the development of prosperous national economies;
Convinced that international cooperation in science and technology will strengthen the bonds of friendship and understanding between their peoples and will advance the state of science and technology to the benefit of both countries and mankind in general;
Wishing to resume and expand the scientific and technological cooperation which has been developed between the two countries in the past under the Agreement signed on June 27, 1988 (hereinafter referred to as "the 1988 Agreement");
Convinced of the need for further developing mutually beneficial scientific and technological cooperation;
and
Recalling the Helsinki Final Act of the Conference on Security and Cooperation in Europe;
Have agreed as follows:
Article I
1. The Parties shall develop, support and facilitate scientific and technological cooperation between cooperating organizations of their two countries on the basis of the principles of equality, overall reciprocity, and mutual benefit. This cooperation may be undertaken in such fields as basic science, environmental protection, medical sciences and health,, agriculture, engineering research, energy, natural resources and their utilization, transportation, standardization, science and technology policy and management, and other areas of science and technology as may be agreed by the Joint Board established in accordance with Articles IX and X of this Agreement.
2. Cooperating organizations may include academies of sciences, scientific institutes, scientific societies, government agencies, universities and other research and development organizations of both countries.
3. Cooperative activities under this Agreement may include coordinated and joint research, projects, studies, and investigations; joint scientific courses, workshops, conferences and symposia; exchange of science and technology information and documentation in the context of cooperative activities; exchange of scientists, specialists, and researchers; exchanges or sharing of equipment or materials; and other forms of scientific and technological cooperation as may be agreed by the Joint Board.
Article II
Cooperation under this Agreement shall be subject to the applicable national laws and regulations of the Parties and to the availability of appropriated funds.
Article III
1. Cooperative activities under this Agreement will take place under implementing memoranda of understanding or other arrangements concluded between government agencies of the two sides (hereinafter "implementing arrangements"). Such implementing arrangements may cover the subjects of cooperation, procedures, funding, allocation of costs, and other relevant matters.
2. Ongoing scientific and technological cooperative activities between cooperating organizations under the 1988 Agreement shall continue under and be governed by this Agreement.
Article IV
With respect to cooperative activities under this Agreement, each Party shall, in accordance with its laws and regulations, facilitate:
(a) prompt and efficient entry into and exit from its territory of appropriate equipment, instrumentation and project information;
(b) prompt and efficient entry into and exit from its territory and domestic travel and work of persons participating in the implementation of this Agreement;
(c) provision of access to relevant geographic areas, data, materials, institutions, and persons participating in the implementation of this Agreement; and
(d) comparable access to major government-sponsored or government-supported programs and facilities for visiting researchers and comparable access to and exchange of information in the field of scientific and technological research and development.
Article V
Provisions for the protection and distribution of intellectual property created or furnished in the course of cooperative activities under this Agreement are set forth in Annex A, which is an integral part of this Agreement.
Article VI
Scientific and technological information of a nonproprietary nature derived from the cooperative activities under this Agreement shall be made available, unless otherwise agreed in writing under implementing arrangements, to the world scientific community through customary channels and in accordance with current procedures of the cooperating organizations.
Article VII
Scientists, technical experts and institutions of other countries or international organizations may be invited, upon consent of both Parties, to participate at their own expense, unless otherwise agreed, in activities being carried out under this Agreement.
Article VIII
Nothing in this Agreement shall prejudice arrangements for scientific and technological cooperation not under this Agreement between cooperating organizations of the Parties.
Article IX
For the purposes of implementing this Agreement, the. Parties shall establish a Slovenia-U. S. Joint Board on Scientific and Technological Cooperation (hereinafter the "Joint Board"). The Joint Board shall:
(a) recommend to the Parties overall policies under the Agreement;
(b) identify fields and forms of cooperation in accordance with Article I, paragraphs 1 and 3;
(c) review, assess and make specific recommendations concerning scientific and technological cooperative activities;
(d) review specific cooperative activities that have been recommended by government agencies on both sides and approved for funding by the Executive Agents (as provided in Article XI);
(e) prepare periodic reports concerning the activities of the Joint Board and cooperative activities undertaken under this Agreement for submission to the Minister of Science and Technology or the Minister of Foreign Affairs of the Republic of Slovenia and the Secretary of State of the United States of America and;
(f) undertake such further functions as may be agreed by the Parties.
Article X
1. The Joint Board shall consist of four government representatives, two of whom shall be designated by, and serve at the pleasure of, the Government of the Republic of Slovenia and two of whom shall be designated by, and serve at the pleasure of, the Government of the United States of America. Each Party may designate alternate members, as necessary.
2. The Joint Board shall meet annually, alternately in Slovenia and the United States, and additionally as determined by the Parties.
3. The Joint Board shall select a chairman from among its members for a one year term.
4. The Joint Board shall act by consensus.
Article XI
1. Each Party shall have an Executive Agent; The Executive Agents shall be the Ministry of Science and Technology for the Republic of Slovenia and the Department of State for the United States of America.
2. The Executive Agents shall exercise overall oversight, management and coordination of cooperative activities under this Agreement.
3. Proposals for cooperative activities that have been recommended by government agencies on both sides will be forwarded to the Executive Agents to approve the allocation of funds to such activities.
4. The Executive Agents shall manage the Joint Fund established under Article XII in support of approved cooperative activities.
5. The Executive Agents shall prepare working papers for sessions of the Joint Board.
Article XII
For purposes of developing proposals, implementing arid providing financial support for cooperative activities under this Agreement, the Parties shall establish a Joint Fund, to consist of equal contributions from both Parties. The principles for the establishment of the Joint Fund are set forth in Annex B, which constitutes an integral part of this Agreement.
Article XIII
1. This Agreement shall enter into force upon an exchange of diplomatic notes confirming that the Parties have completed their respective internal requirements necessary for the entry into force for five years. Upon entry into force, this Agreement shall supersede the 1988 Agreement as between the Government of the Republic of Slovenia and the Government of the United States of America. The Parties may extend this Agreement by written agreement.
2. Either Party may terminate this Agreement upon six months written notice to the other Party. The termination of this Agreement shall not affect the completion of any cooperative activity undertaken under this Agreement and not fully completed at the time of the termination of this Agreement.
3. This Agreement may be amended by written agreement of the Parties.
In witness thereof, the undersigned, being duly authorized by their respective Governments, have signed this Agreement.

ANNEX A
INTELLECTUAL PROPERTY
Pursuant to Article V of this Agreement: The Parties shall ensure adequate and effective protection of intellectual property created or furnished under this Agreement and relevant implementing arrangements. The Parties agree to notify one another in a timely fashion of any inventions or copyrighted works arising under this Agreement and to seek protection for such intellectual property in a timely fashion. Rights to such intellectual property shall be allocated as provided in this Annex.
I. SCOPE
A. This Annex is applicable to all cooperative activities undertaken pursuant to this Agreement, except as otherwise specifically agreed by the Parties or their designees.
B. For purposes of this Agreement, "intellectual property" shall have the meaning found in Article 2 of the Convention Establishing the World Intellectual Property Organization, done at Stockholm, July 14, 1967.
C. This Annex addresses the allocation of rights, interests, and royalties between the Parties. Each Party shall ensure that the other Party can obtain the rights to intellectual property allocated in accordance with the Annex, by obtaining those rights from its own participants through contracts or other legal means, if necessary. This Annex does not otherwise alter or prejudice the allocation between a Party and its nationals, which shall be determined by that Party's laws and practices.
D. Disputes concerning intellectual property arising under this Agreement should be resolved through discussions between the concerned participating institutions or, if necessary, the Parties or their designees. Upon mutual agreement of the Parties, a dispute shall be submitted to an arbitral tribunal for binding arbitration in accordance with the applicable rules of international law. Unless the Parties or their designees agree otherwise in writing, the arbitration rules of the United Nations Commission on International Trade Law (UNCITRAL) shall govern.
E. Termination or expiration of this Agreement shall not affect rights or obligations under this Annex.
II. ALLOCATION OF RIGHTS
A. Each Party shall be entitled to a non-exclusive, irrevocable, royalty-free license in all countries to translate, reproduce, and publicly distribute scientific and technical journal articles, reports, and books directly arising from cooperation under this Agreement. All publicly distributed copies of a copyrighted work prepared under this provision shall indicate the names of the authors of the work unless an author explicitly declines to be named.
B. Rights to all forms of intellectual property, other than those rights described in Section II.A. above, shall be allocated as follows:
1. Visiting researchers, for example, scientists visiting primarily in furtherance of their education, shall receive intellectual property rights under the policies of the host institution. In addition, each visiting researcher named as an inventor shall be entitled to share in a portion of any royalties earned by the host institution from the licensing of such intellectual property.
2. (a) For intellectual property created during joint research, for example, when the Parties, participating institutions, or participating personnel have agreed in advance on the scope of work, each Party shall be entitled to obtain all rights and interests in its own territory. Rights and interests in third countries will be determined in implementing arrangements. If research is not designated as »joint research« in the relevant implementing arrangements, rights to intellectual property arising from the research will be allocated in accordance with paragraph II.B.(l). In addition, each person named as an inventor shall be entitled to share in a portion of any royalties earned by either institution from the licensing of the property.
(b) Notwithstanding paragraph II.B.2.(a), if a type of intellectual property is protected under the laws of one Party but not the other Party, the Party whose laws provide for this type of protection shall be entitled to all rights and interests worldwide. Persons named as inventors of the property shall nonetheless be entitled to royalties as provided in paragraph II.B.2.(a).
III. BUSINESS-CONFIDENTIAL INFORMATION
In the event that information identified in a timely fashion as business-confidential is furnished or created under the Agreement, each Party and its participants shall protect such information in accordance with applicable laws, regulations, and administrative practice. Information may be identified as "business-confidential" if a person having the information may derive an economic benefit from it or may obtain a competitive advantage over those who do not have it, the information is not generally known or publicly available from other sources, and the owner has not previously made the information available without imposing in a timely manner an obligation to keep it confidential.
ANNEX B
JOINT FUND
1. Both Parties undertake, subject to the availability of appropriated funds, to make equal annual contributions to the Joint Fund. The amount of each contribution shall be specified and agreed on by exchange of official correspondence.
2. To the extent consistent with national laws and regulations, the Parties shall take appropriate measures to ensure the monetary integrity of the Joint Fund by placing the funds into interest-bearing accounts.
3. The Parties shall have equal roles in the administration of the Joint Fund. Procedures for administering the Joint Fund, and for using funds to develop, organize and support scientific and technological cooperative activities should be made as simple and efficient as possible.
4. Monies contributed to the Joint Fund shall be managed by the Executive Agents referred to in Article XI.
5. The administrative expenses of Joint Board activities shall be covered by sums arising from the interest on deposits to the Joint Fund. Should funds derived from interest earnings be insufficient to cover such expenses, the balance may be borrowed or supplied from the Joint Fund itself.
6. The establishment and functioning of the Joint Fund shall not prevent cooperating organizations on both sides from making separate and complementary arrangements for funding of cooperative activities. Cooperating organizations with separate funding sources are not precluded from participating in cooperative activities under the Joint Fund.
7. Any additional specific arrangements for the administration and use of the Joint Fund and for repayment of credit (see paragraph 5) shall be as agreed by the Joint Board.
8. In the event this Agreement terminates or expires, the Parties shall consult as to the appropriate disposition of funds remaining in the Joint Fund.
ANNEX C
SECURITY OBLIGATIONS
I. PROTECTION OF INFORMATION
Both parties agree that no information or equipment requiring protection in the interests of national defense or foreign relations of either Party and classified in accordance with the applicable national laws and regulations shall be provided under this Agreement. In the event that information of equipment which is known or believed to require such protection is identified in the course of cooperative activities undertaken pursuant to this Agreement, it shall be brought immediately to the attention of the appropriate officials and the Parties shall consult concerning the need for and level of appropriate protection to be accorded such information or equipment.
 
II. TECHNOLOGY TRANSFER
The transfer of unclassified export-controlled information or equipment between the Parties shall be in accordance with the relevant laws and regulations of each Party to prevent the unauthorized transfer or retransfer of such information or equipment provided or produced under this Agreement. If either Party deems it necessary, detailed provision for the prevention of unauthorized transfer or retransfer of such information or equipment shall be incorporated into the contracts or implementing arrangements.
