O RATIFIKACIJI KREDITNEGA SPORAZUMA (KREDIT ZA PRESTRUKTURIRANJE PODJETNIŠKEGA IN FINANČNEGA SEKTORJA) MED REPUBLIKO SLOVENIJO IN MEDNARODNO BANKO ZA OBNOVO IN RAZVOJ

Ratificira se Kreditni sporazum (kredit za prestrukturiranje podjetniškega in finančnega sektorja) med Republiko Slovenijo in Mednarodno banko za obnovo in razvoj, podpisan v Washingtonu dne 16. avgusta 1993 v angleškem jeziku.
2. člen
Sporazum se v angleškem izvirniku in slovenskem prevodu glasi:
LOAN AGREEMENT
(ENTERPRISE AND FINANCIAL SECTOR ADJUSTMENT LOAN) BETWEEN REPUBLIC OF SLOVENIA AND INTERNATIONAL BANK FOR RECONSTRUCTION AND DEVELOPMENT
AGREEMENT, dated August 16, 1993, between REPUBLIC OF SLOVENIA (the Borrower) and INTERNATIONAL BANK FOR RECONSTRUCTION AND DEVELOPMENT (the Bank).
Whereas (A) the Bank has received a letter dated June 17, 1993, form the Borrower describing a program of actions, objectives and policies designed to achieve structural adjustment of the Borrower's economy and reform of the Borrower's enterprise and financial sectors (hereinafter called the Program), declaring the Borrower's commitment to the execution of the Program, and requesting assistance from the Bank in the financing of urgently needed imports and technical assistance services required during such execution; and
(B) on thè basis, inter alia, of the foregoing, the Bank has decided in support of the Program to provide such assistance to the Borrower by making the Loan as hereinafter provided;
now therefore the parties hereto hereby agree as follows:
Article I
General Conditions; Definitions
Section 1.01. The «General Conditions Applicable to Loan and Guarantee Agreements« of the Bank, dated January 1, 1985, with the modifications thereof set forth below (the General Conditions) constitute an integral part of this Agreement:
(a) Section 2.01, paragraph 11, shall be modified to read:
»'Project' means the imports and other activities that may be financed out of the proceeds of the Loan pursuant to the provisions of Schedule 1 to the Loan Agreement.«;
(b) Section 9.07 (c) shall be modified to read:
»(c) Not later than six months after the Closing Date or such later date as may be agreed for this purpose between the Borrower and the Bank, the Borrower shall prepare and furnish to the Bank a report, of such scope and in such detail as the Bank shall reasonably request, on the execution of the program referred to in the Preamble to the Loan Agreement, the performance by the Borrower and the Bank of their respective obligations under the Loan Agreement and the accomplishment of the purposes of the Loan.«;
(c) The last sentence of Section 3.02 is deleted; and
(d) In Section 6.02, sub-paragraph (k) is re-lettered as sub-paragraph (1) and a new sub-paragraph (k) is added to read:
»(k) An extraordinary situation shall have arisen under which any further withdrawals under the Loan would be inconsistent with the provisions of Article III, Section 3 of the Bank's Articles of Agreement.«
Section 1.02. Unless the context otherwise requires, the several terms defined in the General Conditions and in the Preamble to this Agreement have the respective meanings therein set forth and the following additional terms have the following meanings:
(a) »SITC« means the Standard International Trade Classification, Revision 3 (SITC, Rev. 3), published by the United Nations in Statistical Papers, Series M, No. 34/Rev. 3 (1986);
(b) »BOS« means the Bank of Slovenia, the Central Bank of the Borrower;
(c) »Banks under Rehabilitation« means Ljubljanska Banka, D. D., Ljubljana; Kreditna banka Maribor, D.D.,
Maribor; and Komercialna Banka Nova gorica,.D.D.;
(d) »tolar« means the currency of the Borrower; and
(e) »Special Account« means the account referred to in Section 2.02 (b) of this Agreement.
Article II
The Loan
Section 2.01. The Bank agrees to lend to the Borrower, on the terms and conditions set forth or referred to in the Loan Agreement, various currencies that shall have an aggregate value equivalent to the amount of eighty million dollars ($80,000,000), being the sum of withdrawals of the proceeds of the Loan, with each withdrawal valued by the Bank as of the date of such withdrawal.
Section 2.02. (a) The amount of the Loan may be withdrawn from the Loan Account in accordance with the provisions of Schedule 1 to this Agreement.
(b) The Borrower shall, for the purposes of the Program, open and maintain in a freely convertible currency a special deposit account in a commercial bank or its Central Bank on terms and conditions satisfactory to the Bank, including appropriate protection against set-off, seizure or attachment. Deposits into, and payments out of, the Special Account shall be made in accordance with the provisions of Schedule 5 to this Agreement.
Section 2.03. The Closing Date shall be December 31, 1995 or such later date as the Bank shall establish. The Bank shall promptly notify the Borrower of such later date.
Section 2.04. The Borrower shall pay to the Bank a commitment charge at the rate of three-fourths of one percent (3/4 of 1%) per annum on the principal amount of the Loan not withdrawn from time to time.
Section 2.05. (a) The Borrower shall pay interest on the principal amount of the Loan withdrawn and outstanding from time to time, at a rate for each Interest Period equal to the Cost of Qualified Borrowings determined in respect of the preceding Semester, plus one-half of one percent (1/2 of 1%). On each of the dates specified in Section 2.06 of this Agreement, the Borrower shall pay interest accrued on the principal amount outstanding during the preceding Interest Period, calculated at the rate applicable during such Interest Period.
(b) As soon as practicable after the end of each Semester, the Bank shall notify the Borrower of the Cost of Qualified Borrowings determined in respect of such Semester.
(c) For the purposes of this Section:
(i) «Interest Period« means a six-month period ending on the date immediately preceding each date specified in Section 2.06 of this Agreement, beginning with the Interest Period in which this Agreement is signed.
(ii) »Cost of Qualified Borrowings« means the cost, as reasonably determined by the Bank and expressed as a percentage per annum, of the outstanding borrowings of the Bank drawn down after June 30, 1982, excluding such borrowings or portions thereof as the Bank has allocated to fund: (A) the Bank's investments; and (B) loans which may be made by the Bank after July 1, 1989 bearing" interest rates determined otherwise than as provided in paragraph (a) of this Section.
(iii) »Semester« means the first six months or the second six months of a calendar year.
(d) On such date as the Bank may specify by no less than six months' notice to the Borrower, paragraphs (a), (b) and (c) (iii) of this Section shall be amended to read as follows:
»(a) The Borrower shall pay interest on the principal amount of the Loan withdrawn and outstanding from time to time, at a rate for each Quarter equal to the Cost of Qualified Borrowings determined in respect of the preceding Quarter, plus one-half of one percent (1/2 of 1%). On each of the dates specified in Section 2.06 of this Agreement, the Borrower shall pay interest accrued on the principal amount outstanding during the preceding Interest Period, calculated at the rates applicable during such Interest Period.«
»(b) As soon as practicable after the end of each Quarter, the Bank shall notify the Borrower of the Cost of Qualified Borrowings determined in respect of such Quarter.«
»(c) (jii) 'Quarter' means a three-month period commencing on January 1, April 1, July 1 or October 1 in a calendar year.«
Section 2.06. Interest and other charges shall be payable semiannually on February 15 and August 15 in each year.
Section 2.07. The Borrower shall repay the principal amount of the Loan in accordance with the amortization schedule set forth in Schedule 2 to this Agreement.
Article III
Particular Covenants
Section 3.01 (a) The Borrower and the Bank shall from time to time, at the request of either party, exchange views on the progress achieved in carrying out the Program and the actions specified in Schedule 4. to this Agreement.
(b) Prior to each such exchange of views, the Borrower shall furnish to the Bank for its review and comment a report on the progress achieved in carrying out the Program, in such detail as the Bank shall reasonably request.
Section 3.02. Except as the Bank shall otherwise agree, procurement of the goods and services to be financed out of the proceeds of the Loan shall be governed by the provisions of Schedule 3 to this Agreement.
Section 3.03. The Borrower shall:
(a) carry out under terms of reference satisfactory to the Bank such studies, programs and training activities which, in the opinion of the Borrower and the Bank, are required for the successful and timely execution of the Program;
(b) upon the completion of each of such studies, programs and activities, furnish to the Bank a report (of such scope and detail as the Bank shall reasonably request) on their results and allow the Bank a reasonable opportunity to comment thereon; and
(c) ensure the availability, as needed, of the funds, facilities, services and other resources required for the carrying out of the studies, activities and programs referred to in this Section.
Section 3.04. (a) The Borrower shall maintain or cause to be maintained records and accounts adequate to reflect in accordance with consistently maintained sound accounting practices the expenditures financed out of the proceeds of the Loan.
(b) The Borrower shall:
(i) have the records and accounts referred to in paragraph (a) of this Section including those for the Special Account for each fiscal year audited, in accordance with appropriate auditing principles consistently applied, by independent auditors acceptable to the Bank;
(ii) furnish to the Bank as soon as available, but in any case not later, than six months after the end of each such year, a certified copy of the report of such audit by said auditors, of such scope and in such detail as the Bank shall have reasonably requested; and
(iii) furnish to the Bank such other information concerning said records and accounts and the audit thereof as the Bank shall from time to time reasonably request.
(c) for all expenditures with respect to which withdrawals from the Loan Account were made on the basis of statements of expenditure, the Borrower shall:
(i) maintain or cause to be maintained, in accordance with paragraph (a) of this Section, records and accounts reflecting such expenditures;
(ii) retain, until at least one year after the Bank has received the audit report for the fiscal year in which the last withdrawal from the Loan Account was made, all records (contracts, orders, invoices, bills, receipts and other documents) evidencing such expenditures;
(iii) enable the Bank's representatives to examine such records; and
(iv) ensure that such records and accounts are included in the annual audits referred to in paragraph (b) of this Section and that the report of such audit contains a separate opinion by said auditors as to whether the statements of expenditure submitted during such fiscal year, together with the procedures and internal controls involved in their preparation, can be relied upon to support the related withdrawals.
Article IV
Additional Event of Suspension
Section 4.01. Pursuant to Section 6.02 (1) of the General Conditions, the following additional event is specified, namely, that a situation has arisen which shall make it improbable that the Program, or a significant part thereof, will be carried out.
Article V
Termination
Section 5.01. The date ninety (90) days after the date of this Agreement is hereby specified for the purposes of Section 12.04 of the General Conditions.
Article VI
Representative of the Borrower; Addresses
Section 6.01. The Minister of Finance of the Borrower is designated as representative of the Borrower for the purposes of Section 11.03 of the General Conditions.

SCHEDULE 1
Withdrawal of the Proceeds of the Loan
1. Subjects to the provisions set forth or referred to in this Schedule, the proceeds of the Loan may be withdrawn from the Loan Account for expenditures made (or, if the Bank shall so agree, to be made) in respect of the reasonable cost of goods and services to be financed out of such proceeds, in accordance with the allocation of the Loan to the following Categories:

2. Fot the purpose of this Schedule, the term "foreign expenditures« means the expenditures in the currency of any country other that that of the Borrower for goods or services supplied from the territory of any country other that that of the Borrower.
3. Notwithstanding the provisions of paragraph 1 above, no withdrawals shall be made in respect of:

4. Withdrawals for expenditures under contracts for the procurement of goods estimated to cost less than $5,000,000 may be permitted by the Bank upon the basis of statements of expenditure under such terms and conditions as the Bank shall specify.
5. No withdrawal shall be made and no commitment shall be entered into to pay amounts to or on the order of the Borrower in respect of expenditures to be financed out of the proceeds of the Loan after the aggregate of the proceeds of the Loan withdrawn from the Loan Account and the total amount of such commitments shall have reached the equivalent of $35,000,000, unless the Bank shall be satisfied, after an exchange of views as described >in Section 3.01 of this Agreement based on evidence satisfactory to the Bank: (a) with the progress, achieved by the Borrower in the carrying out of the Program, and (b) that the action described in Schedule 4 to this Agreement have been taken.
6. If, after the exchange of views described in paragraph 5 above, the Bank shall have given notice to the Borrower that the progress achieved and actions taken are not satisfactory and, within 90 days after such notice, the Borrower shall not have achieved progress and taken actions satisfactory to the Bank, then the Bank may, by notice to the Borrower, cancel the unwithdrawn amount of the Loan or any part thereof.

Procurement
Section I. Procurement of Goods
1. Contracts for the procurement of goods estimated to cost the equivalent of $5,000,000 or more each shall be awarded through international competitive bidding in accordance with procedures consistent with those set forth in Sections I and II of the "Guidelines for Procurement under IBRD Loans and IDA Credits« published by the Bank in May 1992 (the Guidelines), subject to the following modifications:
(a) Paragraph 2.8. of the Guidelines is deleted and the following is substituted therefor:
»2.8. Notification and Advertising
The international community should be notified in a timely manner of the opportunity to bid. This will be done by advertising invitations to apply for inclusion in a bidder's invitation list, to apply for prequalification, or to bid; such advertisements should be placed in at least one newspaper of general circulation in the Borrower's country and, in addition, in at least one of the following forms:
(i) a notice in the United Nations publication, Development Business; or
(ii) an advertisement in a newspaper, periodical or technical journal of wide international circulation; or
(iii) a notice to local representatives of countries and territories referred to in the Guidelines, that are potential suppliers of the goods required.«
(b) The following is added at the end of paragraph 2.21 of the Guidelines:
»As a further alternative, bidding documents may require the bidder to state the bid price in a single currency widely used in international trade and specified in the bidding documents.«
(c) Paragraphs 2.55 and 2.56 of the Guidelines are deleted,
2. For fixed-price contracts, the invitation to bid referred to in paragraph 2.13 of the Guidelines shall provide that, when contract award is delayed beyond the original bid validity period, the successful bidder's bid price will be increased for each week of delay by two predisclosed correction factors acceptable to the Bank, one to be applied to all foreign currency components and the other to the local currency component of the bid price. Such an increase shall not be taken into account in the bid evaluation.
3. In the procurement of goods in accordance with paragraph 1 of this Section I, the Borrower shall use the relevant standard bidding documents issued by the Bank, with such modifications thereto as the Bank shall have agreed to be necessary for the purposes of the Program. Where no relevant standard bidding documents have been issued by the Bank, the Borrower shall use bidding documents based on other international recognized standard forms agreed with the Bank.
4. Goods of a proprietary nature may be purchased from suppliers on the basis of negotiated contracts pursuant to procedures acceptable to the Bank.
5. Contracts for the procurement of goods estimated to cost the equivalent of less that $5,000,000 each may be procured under contracts awarded on the basis of comparison of price quotations obtained from at least three suppliers from at least two different countries eligible under the Guidelines, in accordance with procedures acceptable to the Bank.
6. Subject to the prior approval of the Bank, commonly traded commodities may be procured through organized international commodity markets or other channels of competitive procurement acceptable to the Bank, in accordance with procedures acceptable to the Bank. The Borrower shall use the relevant standard bidding document issued by the Bank, with such modifications thereto as the Bank shall have agreed to be necessary for the purposes of the Program. Where no relevant standard bidding documents have been issued by the Bank, the Borrower shall use bidding documents based on other internationally recognized standard forms agreed with the Bank.
7. With respect to each contract referred to in paragraph 1 of this Schedule, the Borrower shall furnish to the Bank, prior to the submission to the'Bank of the first application for withdrawal of funds from the Loan Account in respect of such contract, two conformed copies of such contract, together with the analysis of the respective bids and recommendation for award, a description of the advertising and tendering procedures followed and such other information as the Bank shall reasonably request. Where payments under a contract are to be made out of the proceeds of the Special Account, such copies together with the other information required to be furnished to the Bank pursuant to this paragraph shall be furnished to the Bank as part of the evidence required under paragraph 4 of Schedule 5 to this Agreement.
8. With respect to each contract referred to in paragraphs 5 and 6 of this Schedule, the Borrower shall furnish to the Bank, prior to the submission to the Bank of the first application for withdrawal of funds from the Loan Account in respect thereof, such documentation and information as the Bank may reasonably request to support withdrawal applications in respect of such contract. Where payments under a contract are to be made out of the proceeds of the Special Account, the documentation and the information to be furnished to the Bank pursuant to the provisions of this paragraph shall be furnished to the Bank as part of the evidence required under paragraph 4 of Schedule 5 to this Agreement.
9. The provisions of the preceding paragraph 8 of this Schedule shall not apply to contracts on account of which withdrawals from the Loan Account are to be made on the basis of statements of expenditure.
Section II. Employment of Consultants
1. In order to assist the Borrower in carrying out the technical assistance referred to in Section 3.03 of this Agreement, the Borrower shall employ management, banking, legal and economic consultants whose qualifications, experience and terms and conditions of employment shall be satisfactory to the Bank. Such consultants shall be selected in accordance with principles and procedures satisfactory to the Bank on the basis of the "Guidelines for the Use of Consultants by World Bank Borrowers and by The World Bank as Executing Agency« published by the Bank in August 1981. For complex, time-based assignements, the Borrower shall employ such consultants under contracts, using the standard form of contract for consultants services issued by the Bank, with such modification as shall have been agreed by the Bank. Where no relevant standard contract documents have been issued by the Bank, the Borrower shall use other standard forms agreed with the Bank.
2. Notwithstanding the provisions of paragraph 1 of this Section, the provisions of the Consultant Guidelines requiring prior Bank review or approval of budgets, short lists, selection procedures, letters of invitation, proposals, evalution reports and contracts shall not apply to contracts estimated to cost less than $100,000 equivalent each. However, this exception to prior Bank review shall not apply to the terms of reference for such contracts nor to the employment of individuals, to single source selection of firms, to assignments of a critical nature as reasonably determined by the Bank and to amendments of contracts raising the contract value to $100,000 equivalent or above.
SCHEDULE 4
Actions Reffered to in Paragraph 5 (b) of Schedule 1 to this Agreement
A. Macroeconomic Reform
1. Macroeconomic Performance
Continued maintenance of the macroeconomic framework consistent with the objectives of the Program as determined on the basis of indicators acceptable to the Borrower and the Bank.
2. Adoption of Fiscal Policies
Adoption by the Borrower of the 1994 budget limiting the general budget deficit to not more than 2% of Gross Domestic Product (GDP), providing overall support to the reforms of about 5.4% of GDP, and containing minimum support to the key reform activies, including bank restructuring at about 2.3% of GDP, enterprise restructuring at about 0.9% of GDP and social safety net at about 2.2% of GDP, and adoption by the Borrower of the 1994 budget reducing general expenditures and revenues by not less than 1% of GDP.
3. Pension Reform
Adoption by the Borrower of measures to limit pension expenditures to not more than 12.5% of GDP in 1994, and submission to the Parliament of revised pension legislation.
4. Income Policies
Continued implementation of the wage policy in accordance with criteria acceptable to the Borrower and the Bank.
B. Enterprise Sector
1. Privatization and Restructuring
Carrying out of the privatization of about 400 socially-owned enterprises accounting for about 20% of the value-added contribution of all enterprises subject to the Law on Ownership Transformation and regulations thereunder.
2. Reform of State-Owned Enterprises
(a) Conversion of all socially-owned enterprises in the commercial public service subsectors, designated by the Borrower, into state-owned enterprises in accordance with the Law on Commercial Public Services and regulations thereunder.
(b) Establishment of a governance structure for all state-owned enterprises in accordance with the Companies Law.
(c) Submission to the Parliament of draft legislation to govern the organization and regulatory framework of the energy, telecommunications and railway subsectors and to specify the activites of said subsectors to be privatized in the medium-term.
3. Program for Loss-Making Enterprises Implementation of the Borrower's medium-term restructuring program for the steel subsector; implementation of the Borrower's price adjustment program for the electric power subsector; finalization of the Borrower's restructuring program for the railway subsector; and achievement of satisfactory progress in the reduction of losses and in the implementation of the reforms in said subsectors.
C. Banking Sector Reform
1. Bank Restructuring Program (a) Bank Rehabilitation
Satisfactory progress in the implementation of bank rehabilitation, including achievement by the Banks under Rehabilitation of a capital asset ratio (CAR) of not less than 4% and a positive operating cash flow; satisfactory progress by said Banks in the implementation of institutional development programs; and restructuring of the banking system in a manner that ensures that individual banks do not hold more than 40% of the total deposits of the system.
(b) Institutional Arrangements
Adoption of new legislation or amendments to existing legislation governing the Bank Rehabilitation Agency (BRA) reflecting its expanded role and responsibilities; implementation by the BRA of a program for its operations, including multi-year financial requirements to support bank rehabilitation; appointment by the BRA of a board of directors for each bank under rehabilitation; and approval by each Bank under rehabilitation of performance indicators and targets for its recovery.
(c) Foreing Currency Deposits
Based on a review of the Borrower's program for foreign currency deposits, revision if necessary of said program to strengthen bank rehabilitation.
2. Debt Recovery
(a) Classified Debts
Restructuring of at least one-third of the debtor enterprises and one-third of the debts transferred from the accounts of the Banks under Rehabilitation to the accounts of the BRA.
(b) Guidelines for Debt Recovery Implementation of the guidelines of the BRA for debt recovery and of the regulation of the BOS for adversely classified borrowers.
3. Legal and Regulatory Framework
(a) Laws and Regulations
Enactment by the Parliament of amendments to the Banking Law and the Bank Rehabilitation Law in a manner agreed with the Bank, and adoption by BOS of revisions to its regulations consistent with said amendments.
(b) Bank Supervision
Progress in implementing the plan adopted by BOS to strengthen bank supervisory capabilities as determined in accordance with agreed guidelines.
(c) Bank Privatization Adoption of a privatization strategy for the Banks nder Rehabilitation in accordance with guidelines acceptable to the Borrower and the Bank.
SCHEDULE 5
Special Account
1. For the purposes of this Schedule:
(a) the term »eligible expenditures« means expenditures in respect of the reasonable cost of consultants' services and training required during the execution of the Program and to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 1 to the Agreement; and
(b) the term »Authorized Allocation« means an amount equivalent to $500,000 to be withdrawn from the Loan Account and deposited into the Special Account pursuant to paragraph 3 (a) of this Schedule.
2. Payments out of the Special Account shall be made exclusively for eligible expenditures in accordance with the provisions of this Schedule.
3. After the Bank has received evidence satisfactory to it that the Special Account has been duly opened, withdrawals of the Authorized Allocation and subsequent withdrawals to replenish the Special Account shall be made as follows:
(a) For withdrawals of the Authorized Allocation, the Borrower shall furnish to the Bank a request or requests for a deposit or deposits which do no exceed the aggregate amount of the Authorized Allocation. On the basis of such request or requests, the Bank shall, on behalf of the Borrower, withdraw from the Loan Account and deposit in the Special Account such amount or amounts as the Borrower shall have requested.
(b) (i) For replenishment of the Special Account, the Borrower shall furnish to the Bank requests for deposits into the Special Account at such intervals as the
Bank shall specify.
(ii) Prior to or at the time of each such request, the Borrower shall furnish to the Bank the documents and other evidence required pursuant to paragraph 4 of this Schedule for the payment or payments in respect of which replenishment is requested. On the basis of each such request, the Bank shall, on behalf of the Borrower, withdraw from the Loan Account and deposit into the Special Account such amount as the Borrower shall have requested and as shall have been shown by said documents and other evidence to have been paid, out of the Special Account for eligible expenditures.
All such deposits, shall be withdrawn by the Bank from the Loan Account in the respective equivalent amounts as shall have been justified by said documents and other evidence.
4. For each payment made by the Borrower out of the Special Account,, the Borrower shall, at such time as the Bank shall reasonably request, furnish to the Bank such documents and other evidence showing that such payment was made exclusively for eligible expenditures.
5. Notwithstanding thè provisions of paragraph 3 of this Schedule; the Bank shall not be required to make urther deposits into the Special Account;
(a) if, at any time, the Bank shall have determined that all further withdrawals should be made by the Borrower directly from the Loan Account in accordance with the provisions of Article V of the General Conditions and paragraph (a) of Section 2.02 of this Agreement; or
(b) once the total unwithdrawn amount of the Loan, less the amount of any outstanding special commitment entered into by the Bank pursuant to Section 5.02 of the General Conditions with respect to the Project, shall equal the equivalent of twice the amount of the Authorized Allocation.
Thereafter, withdrawal from the Loan Account of the remaining unwithdrawn amount of the Loan shall follow such procedures as the Bank shall specify by notice to the. Borrower. Such further withdrawals shall be made only after and to the extent that the bank shall have been satisfied that all such amounts remaining on deposit in the Special Account as of the date of such notice will be utilized in making payments for eligible expenditures.
6.(a) If the Bank shall have determined at any time that any payment out of the Special Account: (i) was made for an expenditure or in an amount not eligible, pursuant to paragraph 2 of this Schedule; or (ii) was not justified by the evidence furnished to the Bank, the Borrower shall, promptly upon notice from the Bank: (A) provide such additional evidence as the Bank may request; or (B) deposit into the Special Account (or, if the Bank shall so request, refund to the Bank) an amount equal to the amount of such payment or the portion thereof not so eligible or justified. Unless the Bank shall otherwise agree, no further deposit by the Bank into the Special Account shall be made until the Borrower has provided such evidence or made such deposit or refund, as the case may be.
(b) If the Bank shall have determined at any time that any amount outstanding in the Special Account will not be required to cover further payments for eligible expenditures, the Borrower shall, promptly upon notice from the Bank, refund to the Bank such outstanding amount.
(c) The Borrower may, upon notice to the Bank, refund to the Bank all or any portion of the funds on deposit in the Special Account.
(d) Refunds to the Bank made pursuant to paragraphs 6 (a), (b) and (c) of this Schedule shall be credited to the Loan Account for subsequent withdrawal or for cancellation in accordance with the relevant provisions of this Agreement, including the General Conditions.
KREDITNI SPORAZUM
(KREDIT ZA PRESTRUKTURIRANJE PODJETNIŠKEGA IN FINANČNEGA SEKTORJA) MED REPUBLIKO SLOVENIJO IN MEDNARODNO BANKO ZA OBNOVO IN RAZVOJ
SPORAZUM, sklenjen dne 16. avgusta 1993 med REPUBLIKO SLOVENIJO (kreditojemalec) in MEDNARODNO BANKO ZA OBNOVO IN RAZVOJ (Banka).
(A) Ker je Banka od kreditojemalca prejela pismo z dne 17. junija 1993, v katerem je opisan program dejavnosti, ciljev in politike, predviden za izvedbo prestrukturiranja kreditojemalčevega gospodarstva ter reformo njegovega podjetniškega in finančnega sektorja (v nadaljevanju: program), v katerem je izražena pripravljenost kreditojemalca za izvedbo tega programa ter prošnja Banki za pomoč pri financiranju nujno potrebnega uvoza in tehnične pomoči, potrebne v času izvedbe;
(B) ker se je Banka, med drugim tudi na osnovi zgoraj navedenega, v podporo programa odločila kreditojemalcu nuditi pomoč v obliki spodaj omenjenega kredita,
sta se podpisnici dogovorili sledeče:
I. člen
Splošni pogoji, definicije
Poglavje 1.01. »Splošni pogoji za kreditne in garantne sporazume« Banke z dne 1. januarja 1985, vključno s spremembami, navedenimi v nadaljevanju (Splošni pogoji), so sestavni del tega sporazuma:
(a) poglavje 2.01, odstavek 11, se spremeni in se glasi:
»'Projekt' pomeni uvoz in druge dejavnosti, ki se lahko v skladu z določili Priloge 1 tega sporazuma financirajo iz sredstev kredita«;
(b) poglavje 9.07 (c) se spremeni in se glasi:
»(c) Najkasneje šest mesecev po končnem roku ali roku, za katerega se v ta namen lahko dogovorita kreditojemalec in Banka, mora kreditojemalec pripraviti in Banki predložiti tako obsežno in izčrpno poročilo o. izvajanju programa iz uvodnih določil kreditnega sporazuma, o izvajanju obveznosti kreditojemalca in Banke po kreditnem sporazumu in o izpolnjevanju ciljev sporazuma, kot ga bo Banka lahko upravičeno zahtevala«;
(c) zadnji stavek poglavja 3.02 se izpusti; in
(d) pododstavek (k) poglavja 6.02 se preimenuje v pododstavek (I), doda pa se nov pododstavek (k), ki se glasi:
»(k)... (če) pride do izrednih okoliščin, v katerih bi bilo vsako nadaljnje črpanje tega kredita v nasprotju z določili člena III poglavja 3 Statuta Banke.«
Poglavje 1.02. Izrazi, definirani v Splošnih pogojih in v uvodnih določilih tega sporazuma, imajo pomen, kakršen je tam naveden, sledeči dodatni izrazi pa razen v primerih, kjer kontekst narekuje drugačen pomen, pomenijo:
(a) »SMTK« pomeni Standardno mednarodno trgovinsko klasifikacijo, Revizija št. 3 (Standard International Trade Classification, SITC, Rev. 3), ki so jo izdali Združeni narodi v zbirki Statističnih poročil (Statistical papers, Series M, No. 34/Rev. 3, 1986);
(b) kratica »BS« pomeni Banko Slovenije;
(c) izraz »banke v sanaciji« se nanaša na Ljubljansko banko d.d., Ljubljana; Kreditno banko Maribor d.d., Maribor in Komercialno banko Nova Gorica d.d.;
(d) »tolar« pomeni valuto kreditojemalca;
(e) izraz »posebni račun« pomeni račun iz poglavja 2.02 tega sporazuma.
II. člen
Kredit
Poglavje 2.01. Pod pogoji in načini, navedenimi ali omenjenimi v kreditnem sporazumu, Banka posodi kreditojemalcu razne valute v skupni vrednosti, ustrezni znesku osemdeset milijonov dolarjev (USD 80.000.000), kar predstavlja vsoto vseh izčrpanih sredstev kredita, ki jih Banka ovrednosti na datum samega črpanja sredstev.
Poglavje 2.02. (a) Znesek kredita se lahko dvigne s kreditnega računa v skladu z določili Priloge 1 tega Sporazuma.
(b) Za potrebe izvajanja tega programa mora kreditojemalec odpreti in vzdrževati poseben depozitni račun v prosto konvertibilni valuti pri komercialni banki ali njeni centralni banki, in sicer pod pogoji in načini, s katerimi se Banka strinja, zagotoviti pa mora tudi ustrezno zavarovanje pred nenamensko rabo, zasegom in zaplembo. Pologi na posebni račun in dvigi z njega se izvajajo v skladu z določili Priloge 5 tega sporazuma.
Poglavje 2.03. Zaključni rok je 31. december 1995 ali kasnejši datum, ki ga določi Banka in o tem nemudoma obvesti kreditojemalca.
Poglavje 2.04. Kreditojemalec Banki občasno plača stroške pripravljenosti kredita v višini treh četrtin enega odstotka (3/4 od 1%) letno na glavnico še ne uporabljenega kredita.
Poglavje 2.05. (a) Kreditojemalec občasno plačuje obresti na znesek izčrpane, a še neodplačane glavnice kredita po obrestni meri, ki je za vsako obrestno dobo enaka ceni priznanih dolgov, izračunani glede na predhodno polletje, plus pol odstotka (1/2 od 1%). V vseh rokih, določenih v poglavju 2.06 tega sporazuma, kreditojemalec plača dospele obresti na neodplačano glavnico za predhodno obrestno dobo, pri čemer se te dospele obresti obračunajo po obrestni meri, ki velja v dotični obrestni dobi.
(b) Banka po možnosti takoj po koncu vsakega polletja obvesti kreditojemalca o ceni priznanih dolgov, ugotovljenih v tem polletju.
(c) V tem poglavju:
(i) izraz »obrestna doba« pomeni obdobje šestih mesecev, ki se konča z zadnjim dnem pred datumi, določenimi v poglavju 2.06 tega sporazuma, začne pa se z obrestno dobo, v kateri je bil sporazum podpisan;
(ii) izraz »cena priznanih dolgov« pomeni ceno, ki jo Banka upravičeno določi v obliki letnega odstotka po 30. juniju 1982 pri banki izčrpanega, vendar še neodplačanega kredita, z izjemo kreditov ali njihovih delov, ki jih je Banka namenila za financiranje: (A) investicij Banke ter (B) kreditov, ki jih je Banka odobrila po 1. juliju 1989, za katere se obrestna mera ne določa na način, ki ga opredeljuje odstavek (a) tega poglavja;
(iii) izraz »polletje« pomeni prvih ali drugih šest mesecev koledarskega leta.
(d) Z dnem, ki ga sme Banka določiti in o tem obvestiti kreditojemalca najmanj šest mesecev vnaprej, se odstavki (a), (b) in (c) (iii) tega poglavja spremenijo tako, da se glasijo:
»(a) Kreditojemalec občasno plačuje obresti na znesek izčrpane, a še neodplačane glavnice kredita po obrestni meri, ki je za vsako četrtletje enaka ceni priznanih dolgov, izračunani glede na predhodno četrtletje, plus pol odstotka (1/2 od 1%). V vseh rokih, določenih v poglavju 2.06 tega sporazuma, kreditojemalec plača dospele obresti na neodplačano glavnico za predhodno obrestno dobo, pri čemer se te dospele obresti obračunajo po obrestni meri, ki velja v dotični obrestni dobi.«
»(b) Banka po možnosti takoj po koncu vsakega četrtletja obvesti kreditojemalca o ceni priznanih dolgov, ugotovljeni za dotično četrtletje.«
»(c) (iii) 'Četrtletje' pomeni trimesečno obdobje, ki se začne 1. januarja, 1. aprila, 1. julija in 1. oktobra koledarskega leta.«
Poglavje 2.06. Obresti in drugi stroški se plačujejo polletno, in vsako leto 15. februarja in 15. avgusta.
Poglavje 2.07. Kreditojemalec odplačuje glavnico kredita v skladu z amortizacijskim načrtom, navedenim v Prilogi 2 tega sporazuma.
III. člen
Posebni dogovori
Poglavje 3.01. (a) Kreditojemalec in Banka na zahtevo ene ali druge stani občasno izmenjata mnenja o napredku, doseženem pri izvajanju programa in dejavnosti, navedenih v Prilogi 4 tega sporazuma.
(b) Pred vsako izmenjavo mnenj mora kreditojemalec Banki v pregled in obravnavo predložiti tako izčrpno poročilo o doseženem napredku pri izvajanju programa, kot ga je Banka upravičena zahtevati.
Poglavje 3.02. Za nabavo blaga in storitev; ki se financirajo iz sredstev kredita, veljajo določila Priloge 3 tega sporazuma, razen če se Banka ne dogovori drugače.
Poglavje 3.03. Kreditojemalec mora:
(a) vse študije, programe in dejavnosti v zvezi z usposabljanjem, ki so po mnenju kreditojemalca in Banke potrebne za uspešno in pravočasno izvedbo programa, izvajati po kriterijih, s katerimi je banka zadovoljna;
(b) po zaključku vsake od omenjenih študij, programov ali dejavnosti, Banki nemudoma predložiti poročilo o doseženih rezultatih (in sicer v takem obsegu in tako izčrpno, kot ga bo Banka upravičena zahtevati) ter ji zagotoviti možnost, da o njih izrazi svoje mnenje; in
(c) ko se pokaže potreba, zagotoviti uporabo finančnih sredstev, opreme in naprav, storitev in drugih resursov, potrebnih za izvajanje študij, dejavnosti in programov, na katere se nanaša to poglavje.
Poglavje 3.04. (a) Kreditojemalec mora v skladu z dosledno vodeno solidno računovodsko prakso voditi ali poskrbeti za tako vodenje dokumentacije in računovodstva, ki bo omogočalo ustrezen vpogled v izdatke, ki se financirajo iz sredstev kredita.
(b) Kreditojemalec mora:
(i) dokumente in računovodsko dokumentacijo, na katero se nanaša odstavek (a) tega poglavja, vključno z dokumentacijo o posebnem računu za vsako fiskalno leto predložiti v revizijo neodvisnemu revizorju, z izborom katerega se bo Banka strinjala, ki bo omenjeno revizijo opravil v skladu z ustreznimi in dosledno uveljavljenimi načeli revizije;
(ii) overjeno kopijo poročila revizijske organizacije, in sicer v takem obsegu in tako izčrpno, kot ga bo Banka upravičena zahtevati, Banki dostaviti takoj, ko bo ta na razpolago, v vsakem primeru pa najkasneje šest mesecev po koncu fiskalnega leta; ter
(iii) Banki dostaviti vse druge informacije v zvezi z omenjenimi dokumenti, računovodsko dokumentacijo ter opravljeno revizijo, ki jih bo Banka občasno upravičena zahtevati.
(c) Za vse izdatke, za plačilo, katerih so bili dvigi sredstev s kreditnega računa realizirani na osnovi kalkulacij izdatkov, mora kreditojemalec:
(i) v skladu z odstavkom (a) tega poglavja voditi ali poskrbeti, za vodenje dokumentacije in računovodstva, iz katerih bodo ti stroški razvidni;
(ii) vsaj eno leto po datumu, ko je Banka prejela revizijsko poročilo za fiskalno leto, v katerem je bil realiziran zadnji dvig s kreditnega računa, hraniti vso dokumentacijo (pogodbe, naročilnice, fakture, blagajniška potrdila in druge dokumente), ki dokazujejo te stroške;
(iii) predstavnikom Banke omogočiti pregled te dokumentacije; ter
(iv) zagotoviti, da sta ta dokumentacija in računovodska dokumentacija vključeni v letna revizijska poročila iz odstavka (b) tega poglavja ter da revizijsko poročilo vsebuje ločeno mnenje omenjenih revizorjev o tem, ali so kalkulacije izdatkov, predložene v določenem fiskalnem letu, skupaj s postopki in notranjo kontrolo njihove priprave, dovolj verodostojne za upravičenost tozadevnih dvigov.
IV. člen
Dodatni dogodek, ki lahko povzroči začasno prekinitev
Poglavje 4.01. V skladu s poglavjem 6.02 (1) Splošnih pogojev se določi naslednji dodatni dogodek, in sicer ta, da je prišlo do okoliščin, v katerih izvedba programa ali njegovega večjega dela ni verjetna.
V. člen
Prenehanje
Poglavje 5.01. Ta. člen določa, da se rok, ki se uporablja v zvezi s poglavjem 12.04 Splošnih pogojev, izteče devetdeset (90) dni po datumu tega sporazuma.
VI. člen
Predstavnik kreditojemalca, naslovi
Poglavje 6.01. V smislu poglavja 11.03 Splošnih pogojev se za predstavnika kreditojemalca določi finančni minister kreditojemalca.

(c) izdatke za blago, dobavljeno po pogodbah, katerega vrednost je nižja od protivrednosti $10.000;
(d) stroške za blago, dobavljeno po pogodbi, ki jo bo financirala ali jo ima namen financirati druga državna ali mednarodna finančna ustanova ali agencija, ne Banka; ter
(e) stroške za blago, ki je namenjeno za vojaške ali paravojaške namene ali za luksuzno porabo.
4. Na osnovi predložene kalkulacije izdatkov in pod pogoji in določili, ki jih določi sama, Banka lahko dovoli dvig sredstev za izdatke v zvezi s pogodbami za nabavo blaga, ki po oceni stane manj kot $5.000.000.
5. Ko bo skupni znesek dvigov s kreditnega računa ter skupni znesek teh obveznosti dosegel protivrednost $35.000.000, ne bo več mogoče črpati sredstev kredita ali na podlagi teh sredstev sprejemati obveznosti plačevanja zneskov kreditojemalcu ali po njegovem naročilu za izdatke, ki se financirajo iz sredstev kredita, razen če bo po izmenjavi mnenj, omenjenih v poglavju 3.01 tega sporazuma in temelječih na za Banko zadovoljivih dokazih, Banka zadovoljna z: (a) napredkom, ki ga je dosegel kreditojemalec pri izvajanju programa, ter (b) da so bile izvedene vse akcije iz Priloge 4 tega sporazuma.
6. Če po izmenjavi mnenj, opisanih v 5. odstavku zgoraj, Banka obvesti kreditojemalca, da doseženi napredek ter realizirane dejavnosti niso zadovoljive, in če kreditojemalec v 90 dneh po prejemu tega obvestila ne doseže določenega napredka in realizira dejavnosti, ki bi Banko zadovoljile, sme Banka, z obvestilom kreditojemalcu, onemogočiti dvig neizkoriščenega zneska kredita ali določenega dela neizkoriščenega zneska kredita.

PRILOGA 3
Nabava Poglavje I. Nabava blaga
1. Pogodbe za nabavo blaga, katerih posamezen znesek je ocenjen na protivrednost $5.000.000 ali več, se sklepajo na podlagi mednarodnega natečaja in v skladu s postopki, ki ustrezajo postopkom, navedenim v Poglavjih I in II »Navodil za nabavo s krediti IBRD in krediti IDA«, ki jih je Banka izdala maja 1992 (Navodila), vključno z naslednjimi spremembami:
(a) Odstavek 2.8 Navodil se črta in se nadomesti s sledečim besedilom:
»2.8. Obveščanje in oglaševanje
Mednarodna skupnost mora biti pravočasno obveščena o priložnosti sodelovanja na natečaju. To se opravi prek oglasov in vabil ponudnikom, da se udeležijo natečaja, da sodelujejo v predkvalifikaciji ali pripravijo ponudbe; ta obvestila morajo biti objavljena v vsaj enem časopisu z visoko naklado, ki. izhaja v kreditojemalčevi državi, ter vsaj v eni od sledečih oblik:
(i) obvestilo v publikaciji Združenih narodov Development Business; ali
(ii) oglas v časopisu, periodični publikaciji ali tehnični reviji s široko mednarodno distribucijo; ali
(iii) obvestilo lokalnim predstavnikom držav in ozemelj, navedenih v Navodilih, ki so potencialni dobavitelji iskanega blaga.«
(b) Na konec odstavka 2.21 Navodil se doda: »Kot dodatno alternativo lahko razpisna dokumentacija od ponudnika zahteva, da ceno svoje ponudbe navede v eni sami valuti, ki se splošno uporablja v mednarodni trgovini in je določena v razpisni dokumentaciji.«
(c) Odstavka 2.55 in 2.56 Navodil se črtata.
2. Za pogodbe s fiksno ceno mora vabilo za pripravo ponudbe iz odstavka 2.13 Navodil vsebovati določilo, po. katerem se cena ponudbe izbranega ponudnika, kolikor do izbora pogodbe pride po osnovnem roku veljavnosti ponudbe, za vsak teden zamude poviša za dva predhodno dogovorjena in za Banko sprejemljiva korekcijska koeficienta, od katerih eden velja za vse postavke ponudbene cene v tujini valuti, drugi pa za postavke ponudbene cene v lokalni valuti. To povečanje se ne upošteva pri ovrednotenju ponudbe.
3. Za nabavo blaga v skladu z odstavkom 1 poglavja I mora kreditojemalec uporabljati s strani Banke izdane ustrezne standardne razpisne dokumente, vključno s tistimi spremembami, za katere se bo Banka strinjala, da so za program potrebne. Za primere, za katere Banka ni izdala ustreznih razpisnih dokumentov, kreditojemalec v dogovoru z Banko uporablja razpisne dokumente, oblikovane na osnovi drugih mednarodno priznanih standardnih obrazcev.
4. Blago, ki je zakonsko zaščiteno, se lahko nabavlja od dobaviteljev na osnovi pogodb, sklenjenih na pogajanjih, ki potekajo v skladu s postopkom, ki je za Banko sprejemljiv.
5. V skladu s postopki, sprejemljivimi za Banko, se lahko pogodbe za nabavo tistega blaga, katerega posamezna ocenjena vrednost je manjša od protivrednosti $5.000.000, sklenejo na osnovi primerjave cenikov vsaj treh dobaviteljev iz vsaj dveh različnih držav, ki v skladu z Navodili pridejo v poštev.
6. Na osnovi predhodne odobritve s strani Banke se lahko običajno trgovsko blago nabavlja na organiziranih mednarodnih trgih blaga ali po drugih, za Banko sprejemljivih kanalih in postopkih konkurenčne nabave. Kreditojemalec mora uporabljati ustrezno standardno razpisno dokumentacijo, ki jo je izdala Banka, s takimi spremembami, za katere se Banka strinja, da so potrebne za izvedbo programa. Za primere, za katere Banka ni izdala ustreznih razpisnih dokumentov, kreditojemalec uporablja v dogovoru z Banko razpisne dokumente na osnovi drugih mednarodno priznanih standardnih obrazcev.
7. Preden kreditojemalec pri Banki vloži prvi zahtevek za črpanje sredstev s kreditnega računa v zvezi s to pogodbo, mora za vsako pogodbo, omenjeno v 1. odstavku te priloge, Banki predložiti dva overjena izvoda pogodbe, analizo ponudb in priporočilo za dodelitev, opis uporabljenih postopkov razpisa in oglašanja, pa tudi vse druge informacije, ki jih bo Banka upravičeno zahtevala. Kjer se plačila po pogodbi izvajajo iz sredstev posebnega računa, se omenjena izvoda in druge informacije, ki jih je treba Banki predložiti v skladu z določili tega odstavka, Banki predložijo kot del dokazil, določenih v 4. odstavku Priloge 5 tega sporazuma.
8. Preden kreditojemalec pri Banki vloži prvi zahtevek za črpanje sredstev s kreditnega računa v tej zvezi, mora za vsako pogodbo iz 5. in 6. odstavka te priloge Banki predložiti vso dokumentacijo ter informacije, ki jih ta upravičeno zahteva za utemeljitev črpanja sredstev v zvezi s tako pogodbo. Kjer se plačila po pogodbi izvajajo iz sredstev posebnega računa, se dokumentacija in druge informacije, ki jih je treba predložiti Banki v skladu z določili tega odstavka, predložijo Banki kot dokazila, določena v 4. odstavku Priloge 5 tega sporazuma.
9. Določila predhodnega 8. odstavka te priloge ne veljajo za pogodbe, za plačilo katerih se črpanje sredstev, s kreditnega računa opravi na osnovi kalkulacij izdatkov.
Poglavje II. Zaposlovanje svetovalcev
1. Kot pomoč kreditojemalcu pri izvajanju tehnične pomoči, navedene v poglavju 3.03 tega sporazuma, kreditojemalec zaposli tiste svetovalce s področja managementa, bančništva, prava in gospodarstva, katerih kvalifikacije, izkušnje in pogoji ter zahteve glede zaposlitve ustrezajo Banki. Ti svetovalci bodo izbrani v skladu s principi in postopki, ki ustrezajo Banki, in sicer na osnovi »Navodil za uporabo svetovalcev s strani kreditojemalcev Svetovne Banke in s strani Svetovne Banke kot izvršilne agencije«, ki jih je Banka izdala avgusta 1981. Za izvedbo zahtevnejših in časovno omejenih nalog, kreditojemalec te svetovalce zaposli pogodbeno, za kar uporabi standardne obrazce pogodb za storitve svetovanja, ki jih je izdala Banka, o morebitnih spremembah teh pogodb pa se dogovori z Banko. Za primere, za katere Banka ni izdala ustreznih pogodbenih dokumentov, kreditojemalec v dogovoru z Banko uporablja druge standardne obrazce.
2. Ne glede na določila 1. odstavka tega poglavja pa velja, da tista določila iz Navodil za svetovalce, na podlagi katerih se zahteva predhodna odobritev Banke ali pregled predračunov, seznamov izbranih kandidatov, izbirnih postopkov, vabil, predlogov, cenitev ter pogodb, ne veljajo za pogodbe, katerih posamezna ocenjena vrednost je manjša od protivrednosti $100.000. Vendar pa izključitev predhodnega Bančnega pregleda ne velja za obseg nalog teh pogodb, kakor tudi ne za zaposlovanje posameznikov, izbiro podjetij, iz enega samega vira, za ključne naloge, kot jih je določila Banka, pa tudi za spremembe pogodbe, zaradi katerih se vrednost pogodbe poveča na protivrednost $100.000 ali več.
PRILOGA 4
Dejavnosti, navedene v odstavku 5(b) Priloge 1 tega sporazuma A. Makroekonomska reforma
1. Makroekonomski učinek
Stalno vzdrževanje makroekonomskega okvira v skladu s cilji programa, določenimi na osnovi kazalcev, sprejemljivih za kreditojemalca in Banko.
2. Sprejetje davčne politike
Kreditojemalec mora za leto 1994 sprejeti proračun, ki bo omejeval splošni proračunski primanjkljaj na ne več kot 2% bruto domačega proizvoda (BDP) in zagotavljal celovito podporo reformam v višini približno 5,4% BDP ter vključeval minimalno podporo izvajanja ključnih ukrepov reforme, kamor sodi tudi prestrukturiranje bank ob približno 2,3% BDP, prestrukturiranje podjetij ob približno 0,9% BDP in mrežo socialnega varstva ob približno 2,2% BDP, in mora za leto 1994 sprejeti tak proračun, ki bo splošno porabo in prihodke zmanjšal za ne manj kot za 1% BDP.
3. Reforma pokojninskega sistema Kreditojemalec mora sprejeti ukrepe za omejevanje okojninskih izdatkov na ne več kot 12,5% BDP v 1994 in predložiti Parlamentu v obravnavo revizijo pokojninske zakonodaje.
4. Dohodkovna politika
Nadaljevanje izvajanja politike plač v skladu s kriteriji, ki so sprejemljivi za kreditojemalca in Banko.
B. Podjetniški sektor
1. Privatizacija in prestrukturiranje
Izvedba privatizacije približno 400 družbenih podjetij, ki predstavljajo približno 20% prispevka dodane vrednosti vseh podjetij, za katere velja Zakon o lastninskem preoblikovanju podjetij ter ustrezni predpisi.
2. Reforma državnih podjetij
(a) Preoblikovanje vseh družbenih podjetij v podsektorjih gospodarskih javnih služb, ki jih določi kreditojemalec, v državna podjetja v skladu z Zakonom o gospodarskih javnih službah in ustreznih predpisih.
(b) Vzpostavitev nadzorne strukture v vseh državnih podjetjih, in sicer po določilih Zakona o gospodarskih družbah.
(c) Parlamentu predložiti osnutek zakonodaje, ki bo urejala organizacijske in regulativne okvire podsektorjev energetike, telekomunikacij in železnic ter opredelila dejavnosti teh podsektorjev, ki se bodo v tem srednjeročnem obdobju privatizirali.
3. Program za podjetja z izgubo
Izvajanje kreditojemalčevega srednjeročnega načrta za prestrukturiranje jeklarskega podsektorja; izvajanje kreditojemalčevega načrta prilagajanja cen na področju energetike; finalizacija kreditojemalčevega programa prestrukturiranja železniškega gospodarstva in dosega zadovoljivega napredka pri zmanjševanju izgub in pri izvajanju reform v omenjenih podsektorjih.
C. Reforma bančnega sektorja
1. Program prestrukturiranja bank (a) Sanacija bank
Zadovoljiv napredek pri izvajanju sanacije bank, vključno s tem, da morajo Banke v procesu sanacije doseči tak kapitalski koeficient, ki ne bo nižji od 4%, hkrati pa zagotoviti pozitivni gotovinski tok; zadovoljiv apredek teh bank pri izvajanju institucionalnih razvojnih programov; prestrukturiranje bančnega sistema na način, ki bo zagotavljal, da je posameznim bankam onemogočen nadzor nad več kot 40% vseh depozitov v sistemu.
(b) Institucionalni ukrepi
Sprejetje nove ali tako dopolnjene obstoječe zakonodaje v zvezi z Agencijo za sanacijo bank, da bo ta odražala večjo vlogo Agencije in njene obveznosti. Agencija za sanacijo bank realizira svoj program dejavnosti, ki vključuje večletne finančne potrebe za podporo sanacije bank; Agencija za sanacijo bank imenuje upravni odbor za vsako banko v procesu sanacije; poleg tega vsaka banka v procesu sanacije določi cilje za lastno obnovo in kazalce uspešnosti.
(c) Devizne vloge
Pregled kreditojemalčevega programa glede deviznih vlog in, če bo potrebno, revizija tega programa z namenom, da se omogoči kvalitetna sanacija bank.
2. Izterjava dolgov
(a) Klasificirani dolgovi
Prestrukturiranje najmanj ene tretjine dolžniških podjetij in ene tretjine dolgov, prenesenih z računov bank v sanaciji na račun Agencije za sanacijo bank.
(b) Navodila za izterjavo dolgov
Izvajanje navodil Agencije za sanacijo bank za izterjavo dolgov in izvajanje predpisov Banke Slovenije za slabe dolžnike.
3. Zakonski in regulativni okvir
(a) Zakoni in predpisi
Parlament sprejme spremembe Zakona o bankah in Zakona o sanaciji bank na način, o katerem se sporazume z Banko, Banka Slovenije pa revidira svoje predpise tako, da bodo ti usklajeni z zgoraj omenjenimi spremembami.
(b) Nadzor nad bankami
Napredek pri izvajanju načrta, ki ga je Banka Slovenije sprejela za povečanje tistih vzvodov nadzora nad bankami, ki so določeni v skladu z dogovorjenimi navodili.
(c) Privatizacija bank
Sprejem strategije privatizacije bank, ki so v procesu sanacije, in sicer v skladu z navodili, ki so sprejemljiva tako za kreditojemalca kot za Banko.
PRILOGA 5
Posebni račun
1. Za potrebe te priloge:
(a) izraz »sprejemljivi izdatki« pomeni izdatke za upravičene stroške svetovalnih storitev in usposabljanja v času izvajanja programa in se v skladu z določili Priloge 1 tega sporazuma financirajo iz sredstev kredita;
(b) izraz »odobrena dodelitev« pa pomeni znesek v protivrednosti $500.000, ki se v skladu z odstavkom 3 (a) te Priloge dvigne s kreditnega računa in položi na posebni račun.
2. Izplačila s posebnega računa se izvajajo izključno za sprejemljive stroške v skladu z določili te priloge.
3. Ko banka prejme zadostno dokazilo, da je bil posebni račun pravilno odprt, se dvigi odobrenih dodelitev in kasnejša črpanja sredstev za polnjenje posebnega računa izvajajo, kot sledi:
(a) Za črpanje sredstev v zvezi z odobreno dodelitvijo kreditojemalec Banki predloži enega ali več zahtevkov za polog(e), ki ne presega(jo) skupne vsote odobrene dodelitve. Banka na osnovi tega zahtevka ali zahtevkov v kreditojemalčevem imenu s kreditnega računa dvigne in na posebni račun položi znesek ali zneske, ki ga/jih je kreditojemalec zahteval.
(b) (i) Za popolnitev posebnega računa kreditojemalec Banki predloži zahtevke za pologe na posebni račun v časovnih razmikih, ki jih določi Banka.
(ii) Kreditojemalec, pred ali skupaj z vlogo vsakega zahtevka, Banki predloži dokumente ali druga dokazila, ki so v skladu s 4. odstavkom te priloge potrebna za plačilo ali plačila, za katere se zahteva polnjenje računa. Banka na podlagi takega zahtevka v imenu kreditojemalca s kreditnega računa dvigne znesek, ki ga je kreditojemalec zahteval in za katerega je iz omenjenih dokumentov ali drugih dokazil razvidno, da je bil plačan s posebnega računa za sprejemljive stroške, in ga položi na posebni račun.
Banka vse take pologe črpa s kreditnega računa v tistih ustreznih zneskih protivrednosti, ki so upravičeni z omenjeno dokumentacijo ali drugimi dokazili.
4. Za vsako plačilo, ki ga kreditojemalec realizira s posebnega računa, mora Banki, kadar ta to upravičeno zahteva, predložiti vse dokumente ali druga dokazila o tem, da je bilo plačilo realizirano izključno za sprejemljive stroške.
5. Ne glede na določila 5. odstavka te priloge, Banka v naslednjih primerih na posebni račun ni dolžna nakazati nadaljnjih pologov:
(a) če Banka kadarkoli odloči, da mora kreditojemalec v skladu z določili V. člena Splošnih pogojev in odstavka (a) poglavja 2.02 tega sporazuma vse nadaljnje dvige realizirati neposredno s kreditnega računa; ali
»(b) ko celotni znesek še neizkoriščenega kredita, zmanjšan za še neporavnane posebne obveznosti, ki jih je Banka za ta projekt sprejela v skladu s poglavjem 5.02 Splošnih pogojev, doseže dvakratno, višino zneska odobrene dodelitve.
Od tedaj dalje poteka črpanje ostalih neizkoriščenih sredstev kreditnega računa po postopku, ki ga določi Banka ter o tem obvesti kreditojemalca. Nadaljnji dvigi bodo realizirani le v za Banko sprejemljivem obsegu in šele takrat, ko bo Banka prepričana, da se bodo vsi zneski, ki so ostali deponirani na posebnem računu na datum omenjenega sporočila, uporabili za izvajanje plačil za sprejemljive stroške.
6. (a) V kolikor Banka kadarkoli ugotovi, da je bilo kakšno plačilo s posebnega računa bodisi (i) realizirano za kritje takega stroška ali v taki višini, ki po 2. odstavku te priloge ni sprejemljiv(a); ali (ii) da zanj Banki niso bila predložena dokazila, mora kreditojemalec po prejemu obvestila od Banke nemudoma: (A) predložiti vsa dodatna dokazila, ki jih Banka zahteva; ali (B) položiti na posebni račun (ali če Banka tako zahteva, Banki refundirati) znesek v višini tega plačila ali tisti del zneska, ki ni sprejemljiv, ali podprt z dokazili. Banka ne bo realizirala nobenih nadaljnjih pologov na posebni račun, dokler kreditojemalec ne predloži potrebnih dokazil ali, odvisno od posameznega primera, ne realizira omenjenega pologa oziroma refundira znesek, razen če Banka pristane na drugačen dogovor.
(b) Če Banka kdaj koli ugotovi, da neizkoriščeni znesek na posebnem računu ni potreben za kritje nadaljnjih plačil za sprejemljive stroške, mora kreditojemalec ta znesek po prejetju obvestila od Banke tej takoj vrniti.
(c) Kreditojemalec sme, na osnovi obvestila Banki, Banki refundirati vsa ali del sredstev, deponiranih na posebnem računu.
(d) Refundacije Banki, realizirane v skladu z odstavki 6 (a), (b) in (c) te priloge se v skladu z ustreznimi določili tega sporazuma, vključno s Splošnimi pogoji, knjižijo v dobro kreditnega računa in uporabijo za kasnejše dvige ali preklic.
3. člen
Za izvajanje sporazuma skrbi Ministrstvo za finance.
4. člen
Ta zakon začne veljati naslednji dan po objavi v Uradnem listu Republike Slovenije – Mednarodne pogodbe.
