O RATIFIKACIJI OKVIRNEGA SPORAZUMA MED REPUBLIKO SLOVENIJO IN EVROPSKO INVESTICIJSKO BANKO O DEJAVNOSTIH EIB V SLOVENIJI (MOSEIB)
1. člen
Ratificira se Okvirni sporazum med Republiko Slovenijo in Evropsko investicijsko banko o dejavnostih EIB v Sloveniji, sklenjen dne 15. decembra 1997 v Luksemburgu.
2. člen
Okvirni sporazum se v angleškem izvirniku in slovenskem prevodu glasi:

FRAMEWORK AGREEMENT BETWEEN THE REPUBLIC OF SLOVENIA AND EUROPEAN INVESTMENT BANK GOVERNING EIB ACTIVITIES IN SLOVENIA

THE REPUBLIC OF SLOVENIA (hereinafter “Slovenia”) on the one part, and
THE EUROPEAN INVESTMENT BANK (hereinafter “the Bank”), on the other part,
Desiring generally to facilitate the granting of loans by the Bank for investment projects of interest to Slovenia, and for that purpose to extend certain protection to such projects and to ensure certain rights and privileges for the Bank,
HAVE AGREED AS FOLLOWS:
Article 1
Definitions
For the purposes of this Agreement:
“beneficiary” means any person, whether a natural person or a person established under private or public law, receiving the benefit of financing provided by the Bank for any project, and includes a borrower from the Bank, a co-debtor, a guarantor or an owner of a project financed by the Bank;
“project” means any investment project, which the Bank finances directly or through an intermediary, and which satisfies the following criteria:
(i) it is located in, or its financing by the Bank is effected in or through, the territory of Slovenia, and
(ii) the Government of Slovenia requests financing for it or acknowledges that the financing falls within the scope of this Agreement,
where the Bank agrees to the financing on a date after the date of entry into force of this Agreement or expressly in expectation of its execution or entry into force;
“tax” means any tax, imposition, duty, levy, withholding or fiscal charge whatsoever, whether national, regional or local.
Article 2
Bank’s Activity
The Bank may freely pursue within the territory of Slovenia the activities envisaged by its Statute, including the borrowing of funds under the laws and regulations of Slovenia by means of all instruments permitted thereby. In particular it may, on the basis of its appraisal of a project, decide whether, and on what terms and conditions, to grant credit in support of it.
Article 3
Taxation of Bank
Interest and all other payments due to the Bank and arising out of activities envisaged by this Agreement, as well as the assets and revenues of the Bank connected with such activities, shall be exempt from tax. No activity of the Bank in the territory of Slovenia envisaged by this Agreement shall, of itself, render the Bank or its assets subject to tax.
Article 4
Currency Convertibility
Throughout the life of any financial operation concluded pursuant to Article 2 of this Agreement Slovenia shall:
a) ensure: (i) that beneficiaries may convert into any fully convertible currency the amounts in the national currency of Slovenia necessary for the timely payment of all sums due to the Bank in respect of loans and guarantees in connection with any project; and (ii) that such amounts shall be freely, immediately and effectively transferable;
b) ensure: (i) that the Bank may convert into any fully convertible currency the amounts in the national currency of Slovenia received by the Bank by way of payments arising in respect of loans and guarantees or any other activity and that the Bank may freely, immediately and effectively transfer the amounts so converted; or, at the Bank’s option, (ii) that it may freely dispose of such amounts within the territory of Slovenia
Article 5
Treatment of Projects
Slovenia shall ensure that projects financed by the Bank pursuant to this Agreement, as well as contracts awarded for the execution thereof, benefit, in respect of fiscal, customs and other matters, from treatment no less favourable than that which is accorded to projects or contracts financed by any international financial institution or accorded under any bilateral agreement in respect of such matters or under national legislation, whichever is the most favourable.
Slovenia shall extend to each project full and constant protection and security against expropriation and strife insofar as is necessary to preserve the capacity of the project to generate income which is available to service the debt incurred in connection with the project.
Article 6
Public Tendering
The Bank may make its financing of projects conditional upon the arrangements for participation in tenders and other competitive procedures for the award of contracts being in accordance with the Bank’s rules and procedures in force from time to time.
Article 7
Bank Status and Treatment
The Bank shall enjoy full juridical personality in the territory of Slovenia, including in particular the capacity to contract, to acquire and dispose of movable and immovable property and to be party to legal proceedings in accordance with the laws and regulations of Slovenia determining the status and rights of subjects of International Law as well as in accordance with the principle of most favourable treatment.
The Bank shall enjoy in respect of its activities in the territory of Slovenia the treatment accorded to the international institution which is most favoured in respect of any such activity or, if that is more favourable, the treatment accorded under any international agreement covering such activities.
In particular, the Bank shall have free access to the national financial market in Slovenia, and its obligations and securities shall be treated on terms, including terms as to tax treatment, at least as favourable as those accorded to public bodies of Slovenia, including the State, and the most favoured international financial institution.
Article 8
Bank Privileges and Immunities
The assets of the Bank shall be exempt:
(a) from search and all forms of expropriation;
(b) from the levy or imposition of any measure of execution or distraint prior to the award of a final, unappealable judgement against the Bank, rendered by a court of competent jurisdiction.
Representatives of the Bank, while they are engaged in activities envisaged by this Agreement, shall enjoy at least the following immunities and privileges:
(a) immunity from legal and administrative proceedings in respect of acts performed by them in their official capacity, except in cases where the Bank waives such immunity;
(b) diplomatic privileges and facilities accorded by Slovenia for official communications, for the transmission of documents and travel.
Article 9
Settlement of Disputes over Bank Financing
Slovenia undertakes, in respect of any dispute arising between the Bank and a beneficiary regarding the financing of a project: (i) to ensure that the courts of Slovenia have the authority to recognise a final decision delivered by due process by a court of tribunal of competent jurisdiction, including the Court of Justice of the European Communities or any national court of a member state of the EC; and (ii) to ensure the execution of any such decision in accordance with its applicable national rules and procedures.
For the purposes of this Article 9, the term “project” includes all projects located in Slovenia and financed by the Bank.
Article 10
Subrogation
The rights conferred on the Bank by this Agreement may be enjoyed and exercised (i) by the Bank both in its own name and, to the extent that the EC has made payment to the Bank in respect of any guarantee or insurance concerning any loan concluded pursuant to this Agreement, as representative of the EC, or (ii) as the case may be, by the EC itself by virtue of a right os subrogation.
Article 11
Co-operation
Slovenia undertakes to inform the Bank in a timely manner of any measure or proposed measure on its part, or of any other circumstance, such as may be reasonably expected to affect materially the rights and interests of the Bank under this Agreement.
Article 12
Settlement of Disputes over this Agreement
Any dispute, disagreement, controversy or claim (together referred to as a “dispute”) arising in connection with the existence, validity, interpretation, implementation or termination of this Agreement shall to the extent possible be settled by agreement between Slovenia and the Bank.
If the dispute cannot be amicably settled by Slovenia and the Bank within 60 days of the notification of the dispute by either of those parties, the dispute shall be submitted by either party for a final and binding decision of the Court of Justice of the European Communities.
The submission of a dispute to that Court does not imply the waiver by either party of any privilege or right of immunity from execution under aplicable law.
Article 13
Entry into force
This Agreement shall enter into force upon the day following date on which the Bank confirms to the Government of Slovenia its receipt of (i) a certified copy of the latter’s instrument of ratification or other instrument mutually agreed between Slovenia and the Bank and (ii) a legal opinion acceptable to the Bank and signed by the Minister of Justice of Slovenia as to the legal force of this Agreement.
Notwithstanding the above, all clauses of this Agreement will be applicable to any activity carried out by the Bank within the territory of Slovenia after the date of execution of this Agreement.
Article 14
Expiry
The Bank may by notice to Slovenia release it from all or any of its obligations under this Agreement. Unless otherwise stated, the giving of any such notice shall not affect the rights and interests acquired by the Bank in respect of projects and financial operations outstanding at the date of the notice.
Article 15
Address for Communications
The parties agree that any communication arising in the course of the operation of this Agreement may be addressed to their respective addresses set out as follows:

MED REPUBLIKO SLOVENIJO IN EVROPSKO INVESTICIJSKO BANKO
O DEJAVNOSTIH EIB V SLOVENIJI

REPUBLIKA SLOVENIJA (v nadaljevanju “Slovenija“) na eni strani, in
EVROPSKA INVESTICIJSKA BANKA (v nadaljevanju “Banka“) na drugi strani,
sta se v želji, da bi na splošno omogočili odobravanje posojil Banke za investicijske projekte, zanimive za Slovenijo, in da bi v ta namen zaščitili te projekte ter zagotovili določene pravice in privilegije za Banko,
DOGOVORILI O NASLEDNJEM:
1. člen
Opredelitev pojmov
Za namen tega sporazuma:
pomeni “upravičenec“ katerokoli osebo, bodisi fizično osebo ali pravno osebo, ustanovljeno po zasebnem ali javnem pravu, ki je deležna ugodnosti financiranja s strani Banke za katerikoli projekt, in vključuje posojilojemalca pri Banki, sodolžnika, garanta ali lastnika projekta, ki ga financira Banka;
pomeni “projekt“ katerikoli investicijski projekt, ki ga Banka financira neposredno ali preko posrednika, in ki izpolnjuje naslednja merila:
(i) je na ozemlju Slovenije ali pa ga Banka financira na ozemlju Slovenije ali preko njega in
(ii) vlada Slovenije zaprosi za njegovo financiranje ali potrdi, da sodi financiranje v okvir tega sporazuma,
če se Banka strinja s financiranjem na dan po dnevu začetka veljavnosti tega sporazuma ali izrecno v pričakovanju njegove sklenitve ali začetka veljavnosti;
“davek“ pomeni katerikoli davek, dajatev, takso, akontacijo ali katerokoli dajatev na državni, regionalni ali lokalni ravni.
2. člen
Dejavnost Banke
Banka lahko na ozemlju Slovenije prosto opravlja dejavnosti, ki jih navaja njen statut, vključno s sposojo sredstev v skladu z zakonodajo in predpisi Slovenije in pri tem uporablja vse dovoljene instrumente. Še posebno se lahko na podlagi svoje ocenitve projekta odloča, ali in pod kakšnimi pogoji bo odobrila kredit za podporo projekta.
3. člen
Obdavčitev Banke
Obresti in vsa druga plačila, zapadla v korist Banke in ki izhajajo iz dejavnosti, predvidenih s tem sporazumom, kot tudi aktiva in prihodki Banke, ki so povezani s temi dejavnostmi, so prosti davkov. Nobena dejavnost Banke na ozemlju Slovenije, predvidena s tem sporazumom, sama po sebi ne povzroči, da bi bila Banka ali njena aktiva podvrženi obdavčitvi.
4. člen
Konvertibilnost valute
Ves čas veljavnosti finačne operacije, sklenjene po 2. členu tega sporazuma, Slovenija:
a) zagotavlja, (i) da upravičenci lahko zamenjajo v katerokoli polno konvertibilno valuto zneske v domači valuti Slovenije, ki so potrebni za pravočasno plačilo vseh vsot, ki jih dolgujejo Banki za posojila in garancije v zvezi s katerimkoli projektom, in (ii) da so ti zneski prosto, takoj in dejansko prenosljivi;
b) zagotavlja, (i) da lahko Banka zamenja v katerokoli polno konvertibilno valuto zneske v domači valuti Slovenije, ki jih je Banka prejela kot plačilo v zvezi s posojili in garancijami ali katerokoli drugo dejavnostjo, in da Banka lahko prosto, takoj in dejansko prenese tako zamenjane zneske; ali, če se Banka tako odloči, (ii) da lahko prosto razpolaga s temi zneski na ozemlju Slovenije.
5. člen
Obravnavanje projektov
Slovenija zagotavlja, da projekti, ki jih financira Banka na podlagi tega sporazuma, kot tudi pogodbe za njihovo izvajanje glede davčnih, carinskih in drugih zadev ne bodo deležni manj ugodnega obravnavanja kot projekti ali pogodbe, ki jih financira katerakoli mednarodna finančna institucija, ali ki se priznava po kateremkoli dvostranskem sporazumu v zvezi z njimi ali po notranji zakonodaji, kar je najugodnejše.
Slovenija vsakemu projektu nudi polno in stalno zaščito in varnost pred razlastitvijo in sporom, če je treba ohraniti sposobnost projekta, da ustvarja prihodek, ki je na razpolago za odplačevanje dolga, ki nastane v povezavi s tem projektom.
6. člen
Javna naročila
Banka lahko kot pogoj za financiranje projektov postavi pravila za udeležbo pri javnih naročilih in drugih postopkih, ki zagotavljajo konkurenco pri oddaji del in ki so v skladu z vsakič veljavnimi pravili in postopki Banke.
7. člen
Status in obravnava Banke
Banki je zagotovljena popolna pravna osebnost na ozemlju Slovenije, še posebej sposobnost sklepanja pogodb, da pridobi premičnine in nepremičnine in z njimi razpolaga, da je udeležena v sodnih postopkih v skladu s slovensko zakonodajo in predpisi, ki določajo status in pravice subjektov mednarodnega prava, kot tudi v skladu z načelom najbolj ugodne obravnave.
Banka je glede svojih dejavnosti na ozemlju Slovenije obravnavana kot mednarodna institucija, ki ima največje ugodnosti v zvezi s temi dejavnostmi ali, če je to še ugodneje, v skladu s katerimkoli mednarodnim sporazumom, ki ureja take dejavnosti.
Še posebej ima Banka prost dostop do domačega finančnega trga v Sloveniji in se njene obveznosti ter vrednostni papirji obravnavajo pod vsaj tako ugodnimi pogoji, vključno s pogoji davčne obravnave, kot se priznavajo pravnim osebam javnega prava v Sloveniji vključno z državo, in najugodneje obravnavani mednarodni finančni instituciji.
8. člen
Privilegiji in imunitete Banke
Aktiva Banke je oproščena:
(a) preiskave in vseh oblik razlastitve;
(b) davka ali uvedbe kateregakoli ukrepa izvršbe ali zaplembe preden pristojno sodišče proti Banki ne izda dokončne, brezprizivne sodbe.
Predstavniki Banke so pri svojih dejavnostih v zvezi s tem sporazumom deležni vsaj naslednjih imunitet in privilegijev:
(a) imunitete pred pravnimi in upravnimi postopki v zvezi z dejanji, ki jih izvajajo po svoji uradni dolžnosti razen v primerih, ko se Banka tej imuniteti odpove;
(b) diplomatskih privilegijev in ugodnosti, ki jih nudi Slovenija za uradne stike, za prenos dokumentov in potovanja.
9. člen
Reševanje sporov v zvezi s financiranjem Banke
Slovenija se zavezuje, da bo glede kateregakoli spora, ki nastane med Banko in upravičencem v zvezi s finaciranjem projekta: (i) zagotovila, da so sodišča v Sloveniji pooblaščena, da priznajo dokončno odločbo, ki jo izda pristojno sodišče ali organ razsojanja v rednem postopku, vključno s Sodiščem Evropskih skupnosti ali katerimkoli domačim sodiščem države članice ES, in (ii) zagotovila izvršitev kakršnekoli take odločitve v skladu z veljavnimi notranjimi pravili in postopki.
Za namen 9. člena izraz “projekt“ vključuje vse projekte, ki so v Sloveniji in jih financira Banka.
10. člen
Subrogacija
Pravice, ki jih Banki daje ta sporazum, lahko uživa in uresničuje (i) Banka v svojem imenu ali kot predstavnica ES, če je ES izvršila plačilo Banki v skladu s katerokoli garancijo ali zavarovanjem, ki zadeva katerokoli posojilo, sklenjeno v skladu s tem sporazumom, ali (ii) odvisno od primera, sama ES na podlagi pravice do subrogacije.
11. člen
Sodelovanje
Slovenija se zaveže, da bo Banko pravočasno obvestila o vsakem ukrepu ali ukrepu, ki ga je sama predlagala, ali o vsaki drugi okoliščini, za katero se lahko upravičeno pričakuje, da bo bistveno vplivala na pravice in interese Banke po tem sporazumu.
12. člen
Reševanje sporov v zvezi s tem sporazumom
Katerikoli spor, nesoglasje, nasprotje ali zahteva (skupno imenovani “spor“), ki nastopi v povezavi z obstojem, veljavnostjo, razlago, izvajanjem ali prenehanjem tega sporazuma, se, kolikor je mogoče, reši sporazumno med Slovenijo in Banko.
Če spora med Slovenijo in Banko ni možno rešiti po mirni poti v 60 dneh po obvestilu o sporu s strani katerekoli pogodbenice, katerakoli pogodbenica spor predloži v obravnavo Sodišču Evropskih skupnosti, katerega odločitev je dokončna in zavezujoča.
Predložitev spora v obravnavo temu sodišču ne pomeni, da se katerakoli pogodbenica odreka kateremukoli privilegiju ali pravici do imunitete pred izvršbo v skladu z veljavnim pravom.
13. člen
Začetek veljavnosti
Ta sporazum začne veljati na dan, ki sledi datumu, s katerim Banka vladi Slovenije potrdi prejem (i) overjene kopije akta o ratifikaciji vlade Slovenije ali drugega dokumenta, o katerem sta se sporazumeli Slovenija in Banka, in (ii) za Banko sprejemljivega pravnega mnenja glede pravne veljavnosti tega sporazuma, ki ga podpiše minister za pravosodje Slovenije.
Ne glede na zgoraj navedeno se bodo vse določbe tega sporazuma uporabljale v zvezi s katerokoli dejavnostjo, ki jo opravlja Banka na ozemlju Slovenije po dnevu sklenitve tega sporazuma.
14. člen
Prenehanje veljavnosti
Banka lahko Slovenijo z obvestilom razreši vseh ali nekaterih njenih obveznosti v zvezi s tem sporazumom. Razen če ni drugače navedeno, tako obvestilo ne vpliva na pravice in interese, ki jih je Banka pridobila v zvezi s projekti in finančnimi operacijami, ki so na dan obvestila še odprti.
15. člen
Naslov za sporočanje
Pogodbenici se strinjata, naj se vsa sporočila v zvezi z izvajanjem tega sporazuma naslovijo na njuna naslova, in sicer:

V POTRDITEV TEGA sta spodaj podpisana, za to pravilno pooblaščena, podpisala ta sporazum v angleškem jeziku v treh izvirnikih, s tem, da sta vsako stran parafirala gospa Meta Bole v imenu Republike Slovenije in gospod Marco Padovan v imenu Banke.

3. člen
Za izvajanje tega Okvirnega sporazuma skrbi Ministrstvo za finance.
4. člen
Ta zakon začne veljati naslednji dan po objavi v Uradnem listu Republike Slovenije – Mednarodne pogodbe.
